■ Represented Yates Petroleum Corporation in its $2.4 billion merger with EOG Resources, Inc.
■ Represented Tailwater Capital LLC in the formation of Tailwater Energy Fund III LP, with approximately $900 million in committed capital
■ Represented Haggar Clothing Co. and Yue Yuen Industrial (Holdings) Limited in Haggar’s acquisition by Randa Accessories, bringing revenues for the combined companies to more than $1 billion

Bankruptcy & Restructuring:
■ Served as counsel to Thomas Moran, Chapter 11 trustee for Life Partners Holdings, Inc., as well as debtors’ counsel to the Life Partners operating subsidiaries; advanced and obtained confirmation of a joint plan of reorganization, which, among other things, preserves a $2.4 billion life insurance policy portfolio for the benefit of more than 22,000 investors
■ Served as counsel to P&A claimants in the bankruptcy filing of an offshore E&P debtor with greater than $2 billion in total debt
■ Served as counsel to OHA Investment Corporation in a Fifth Circuit Court of Appeals victory involving the dismissal of $35 million in statutory mineral lien claims asserted against certain term overriding royalties (production payments) purchased in outer continental shelf oil, gas and mineral leases; case was one of first impression in the Fifth Circuit and the first of its kind in American jurisprudence

Oil, Gas & Energy:
■ Represented Ajax Resources LLC in the sale of its northern Midland Basin assets to Diamondback Energy Inc. for $1.25 billion
■ Representation of Roan Holdings, LLC in the consolidation of Roan Holdings, LLC’s and LINN Energy Inc.’s respective interests in Roan Resources LLC under a newly formed, publicly, Roan Resources Inc.
■ Represented Fisterra Energy in the sale of the Mexican holding companies of Ventika, one of the largest wind farms in Latin America

Government & Regulatory:
■ Represent energy companies on environmental issues with E&P, midstream and downstream operations
■ Represent Texas Industrial Energy Consumers, a trade association representing the 40 largest commercial energy users in the state
■ Represent BNSF Railway Co., Union Pacific Railroad Co. and Houston Belt & Terminal Railway Co. in challenging a drainage fee ordinance in Houston

■ Represented agent bank in two affiliated syndicated senior unsecured oil and gas gathering, transportation and processing midstream credit facilities totaling $5.5 billion
■ Represented one of the largest US exploration and production companies in a $4 billion 100% amendment to its revolving credit facility
■ Represented administrative agents in two affiliated syndicated senior unsecured oil and gas gathering, transportation and processing midstream credit facilities totaling more than $5 billion

Intellectual Property & Technology:
■ Obtained three favorable settlements in connection with litigation involving claims of patent infringement related to battery-saving technology for mobile devices
■ Represented an energy-industry client in a patent infringement suit related to drilling technology
■ Represented the University of Houston in a trademark infringement suit regarding another institution’s proposed changes to its name and color scheme

Employment & Labor:
■ Represented a large publicly traded oil and gas exploration and production company in connection with a multi-plaintiff federal lawsuit claiming unpaid severance
■ Represented BNSF in multiple whistleblower discrimination claims brought under the Federal Railroad Safety Act
■ Represented a major aeronautics company in a wrongful termination case that included claims for disability discrimination, national origin discrimination and defamation; obtained summary judgment victory that was not disturbed on appeal to the Fifth Circuit

Real Estate:
■ Represented a global real estate and investment management firm in the $1.2 billion refinance of a loan secured by 150 properties in 28 US states
■ Represented Wells Fargo Bank, N.A. in a $700 million loan secured by a portfolio of properties in Hawaii, Texas and Maryland
■ Represented Trimont Real Estate Advisors, LLC, as special servicer of the $900 million single-asset securitized financing of 225 Liberty Street in New York

■ Represented Energy Future Holdings Inc. as Special Counsel for certain tax-related matters in connection with the largest non-financial bankruptcy in US history
■ Representing an international oil and gas company in connection with multi-billion dollar refund claims
■ Assist international upstream oil and gas company with tax, executive compensation and employee benefits issues for its US workforce and US expatriates

Trial & Appellate:

■ Obtained a verdict in favor of the Life Partners Creditors’ Trust in a fraud case against the company’s former CEO and others
■ Successfully defeated a $200 million+ claim filed against a subsidiary of our client, a major oil and gas exploration and production company, by a competitor
■ Secured an appellate victory affirming a dismissal with prejudice of a class-action lawsuit filed against a major US airline involving expired travel credits
