■ Hammer Capital Consulting Limited on the HK$40.2bn debt financing for the purchasers of The Center – the world’s largest acquisition financing for a single-block commercial building.
■ Sumitomo Mitsui Banking Corporation, MUFG Bank and Mizuho Bank, as mandated lead arrangers on the ¥600bn senior facilities for Bain Capital’s ¥2trn (approx. US$18bn) acquisition of Toshiba Memory – the largest leveraged buyout deal in Asia and the largest Japanese inbound deal ever.

Capital Markets:
Recent significant transactions include advising:
■ Bank of China (Hong Kong)’s issuance of US$3bn of Additional Tier 1 capital securities and US$876,749,000 concurrent tender offer on its existing subordinated notes. This is one of the largest AT1 issuances ever by a Hong Kong SAR bank.
■ The underwriters on the US$1,538m IPO of Huatai Securities – the first IPO under the new Shanghai-London Stock Connect scheme.

Corporate/M&A:
Recent significant transactions include advising:
■ Cathay Pacific on its HK$39bn recapitalization.
■ Takeda Pharmaceutical Company Limited on the £46bn recommended offer for Shire plc – the largest ever outbound M&A deal by a Japanese company. We also advised Takeda Pharmaceutical Company as borrower on the US$30.85bn bridge loan agreement for this acquisition – the largest acquisition financing in Asia, and by a Japanese company.
■ Astra, one of Indonesia’s largest listed companies, on a fintech joint venture with WeLab for the provision of peer-to-peer loans and consumer credit scoring services in Indonesia.

Energy and Infrastructure:
Recent significant transactions include advising:
■ the ECAs and common lenders of the Formosa 2 offshore wind project in Taiwan – one of the largest and most innovative multi-sourced project financings which has come to market in Asia in 2019.
■ Greenko on its c.US$1bn acquisition of the entire share capital of Orange Renewable Holdings, a developer and operator of wind and solar energy projects in India. This is one of the largest renewable energy deals in India.
