Equity Capital Markets:

The firm advises on a wide range of capital markets matters, including takeovers, listings, public offerings, private placements, redemption and buy-back programmes and stock exchange and securities regulations.


Debt Capital Markets:

The firm regularly acts both for financial advisers and issuers as well as investors and agents in all stages of corporate bond transactions, including in relation to renegotiations of terms, reconstructions and distressed scenarios.


M&A:

The firm advises public and private companies, including private equity funds, on all types of mergers and acquisitions, including domestic and cross-border transactions, public and private transactions, and management buyouts.


Corporate & Commercial:

The firm regularly handles shareholder and joint venture agreements and acts as adviser in the restructuring of companies and business groups. ■ Advised Nynas as lead counsel in connection with its successful reorganisation, one of the largest ever reorganisationsin Sweden of more than SEK 9bn in debts and involving several jurisdictions including USA, UK, Venezuela, Germany, Norway and Singapore.

■ Advised Nasdaq Stockholm listed Sinch on its continued global explansion through acquisitions of e.g. Wavy in Latin America, ACL Mobile in India and SAP Digital Interconnect, as well as equity and bond offerings to finance such expansion.

■ Advised Nasdaq Stockholm listed Modern Times Group MTG in connection with its spin-off and listing of Nordic Entertainment Group, its acquisitions of InnoGames in Germany and Hutch in teh UK as well as the rights issue to fund said acquisitions.

■ Advised Carnegie Investment Bank , Goldman Sachs International and Joh Berenberg, Gossler & Co. in connection with the SEK 7.3bn placement of shares in Embracer Group, one of the largest ever on the Nordic markets, which will further increase the company’s international footprint.
