The firm is organised into two practice groups: corporate and finance; and regulatory, EU and litigation. The corporate and finance practice group focuses principally on domestic and international transactions including M&A, corporate finance and capital markets; it advises the financial services and insurance sector and provides tax advice and compliance services. Andrei Vella was admitted to partnership within the corporate and finance practice group as of 1st January 2018. The regulatory, EU and litigation practice group handles competition matters, commercial dispute resolution as well as regulatory advice and support. Steve Decesare was admitted to partnership within the regulatory, EU and litigation practice group as of 1st January 2018. The level of specialisation within the firm and its lawyers’ constant exposure to commercial considerations, enable it to advice on the most complex commercial and finance transactions and disputes.

Corporate/M&A:

■Assisted sell-side in the disposal of a retail banking institution licensed in Malta
■Assisting the seller on the sale and purchase of one of the largest pharmaceutical companies in Malta
■Advising on the acquisition of a licensed retirement scheme administrator based in Malta by a cross border financial services provider

Banking & Finance (including Insurance):

■Assisted a leading local bank with regulatory matters in particular with MiFID II compliance
■Assisted a majority shareholder in the transfer of its shareholding in a leading retail credit institution in Malta

Taxation:

■Advising a major multi-national gaming and betting company with Maltese group members with respect to issues of mutual assistance between foreign and Maltese tax authorities under Directive 2010/24/EU concerning mutual assistance for the recovery of claims relating to taxes, duties and other measures
■Advising on the Maltese tax implications of the remittance of considerable wealth and assets to Malta applicable to an individual who is a beneficiary of a Malta tax residency programme
■Advised on the VAT implications and procedures of acquisition by a Maltese company of an aircraft, the importation of such aircraft through Maltese customs and the subsequent operation and lease of such aircraft to third party charterers as well as group companies

EU & Competition:
