Overview

Our attorneys have participated in several M&A transactions, from their initial stages (including letters of intent and interest or memorandums of understanding), to the drafting of the purchase agreements (of stocks and assets transactions), all through to closing and post-closing, including claims for alleged violations of representations, warranties and/or covenants. 
  
Relevant transactional experience includes among others:

Advising the shareholders of Unity Group, a holding company with subsidiaries engaged in insurance brokerage in Central America with operations in six countries (Panama, Costa Rica, El Salvador, Guatemala, Honduras and Nicaragua), in a corporate restructuring and subsequent sale of its business to Willis Europe B.V.

Advising Marsh Semusa and its shareholders in the execution of a call option of shares of the company.


Advising Empresas Galindo, a group of companies dedicated to the production, commercialization and distribution of corrugated packages and similar products, with respect to the buy-out of minorities shareholders in certain group entities. This was a cross border transaction involving entities from Guatemala and Panama.

Advising Cemento Interoceanico with respect to the sale of 75% of the issued and outstanding shares of the company to Cemento de Panama S.L.

Advising Farallon Nicaragua in connection with the sale of its business to Cooke Inc., a New Brunswick Canadian company and parent of Cooke Aquaculture Inc.
