Main Areas of Practice:


Corporate & Commercial:

The firm advises local and foreign clients on all aspects of corporate and commercial law. The services offered comprise, inter alia, the setting up of companies and other commercial partnerships, trust formation and administration, preparation of constitutional and corporate documents, advice and assistance in relation to corporate structures and transactions, mergers and acquisitions, public offerings of securities, dissolution and winding up, company reconstruction, re-domiciliation and insolvency procedures. The firm also assists various companies whose securities are listed on the Malta Stock Exchange.


Banking & Finance:

The firm advises clients in various capacities in relation to financing transactions, such as syndicated loans, refinancing operations and structured finance transactions. The firm prepares, reviews and negotiates agreements, assists with closing and execution of documents and provides legal opinions on all aspects of financing transactions. The firm also assists with the enforcement of security.


Financial Services:

The financial services department advises and assists local and foreign clients operating in the financial services sector. Services offered in this practice area include setting up and advising of collective investment schemes (retail funds and professional investor / alternative investment funds), fund management companies, investment firms and financial and payment institutions, advice on legal and regulatory issues, applications for licenses or recognition and notifications to the local regulator, drafting of offering documents, preparation and submission of documentation related to passporting of credit institutions, payment institutions, investment firms and UCITS and liaising with the competent authorities.Insurance:

The firm’s shipping practice caters for all shipping related legal activities ranging from registration of ships and yachts, asset finance, corporate and tax structuring and litigation. The aviation team sees to all legal matters relating to the aviation business whether these relate to setting up aircraft operations in Malta, asset financing, leasing, aircraft repossession on behalf of lessors and litigation.


Litigation & Alternative Dispute Resolution:

The firm advises and represents clients with respect to investigations made by, and complaints made to, the Office for Competition as well as proceedings before the Competition and Consumer Appeals Tribunal and the civil courts.
