Main Areas of Practice

Commercial Transactions:
This practice gives advice on a wide range of transactional matters including the formation of legal entities such as companies, branches and non-governmental organizations. KAA also provide company secretarial services, directorship services and allow for the usage of the firm’s premises as the registered address by the firm’s clients. Relevant experience in field is as below:

Corporate Governance, Private Equity, Capital Markets and Securities:
■Advised an international Bank on a USD 3.3 million issuance of its subordinated debt issue
■Advised a multinational supermarket chain on a USD. 10 million cross-listing of its 265,426,614 shares on the Uganda Securities Exchange
■Advised an Airline on the cross-listing of its 1,477,169,549 shares on the Uganda Securities Exchange.

Mergers and Acquisitions:
■Advised a Bank on the acquisition of a 10% stake in the Bank by Rural Impulse Fund II/ RIF- North1, a company managed by INCOFIN Investment Management.
■Advised a multinational alcohol company on its acquisition of a leading mineral water producer and its subsidiary.
■Advised a Bank in connection with the acquisition of 70% of its share capital and its subsidiary

Litigation/ Dispute Resolution:
KAA continues to be widely regarded as the top law firm in Uganda in dispute resolution. The litigation team represents clients in commercial disputes, land disputes, election and constitutional petitions, disputes arising under employment law and taxation, and international arbitration

Litigation experience:
■Successfully defended a Ugandan regulator in a suit lodged by Traces (SA) CC, emanating from the termination of a contract for the collection of Television Licence Fees by the Government of Uganda. The value of the claim was USD $ 513 Million ■KAA successfully defended a client in a USD 100 million case against the banking regulator and a local bank in receivership for allegedly defrauding Crane Bank Limited and causing the financial loss that led to the collapse of Crane Bank Limited. This was a first of its kind dispute against BOU arising from the exercise of its regulatory mandate
■KAA successfully represented a group of companies in challenging the decision of the Director of Public Prosecutions to freeze their business bank accounts in Uganda in a dispute worth over USD 30 million

Arbitration experience:
■Handled some of the largest disputes relating to telecoms and successfully represented the leading telecom company in Uganda in disputes worth over USD 50 million Arbitration experience
■The firm successfully represented a Ugandan regulator in an arbitration dispute worth USD 20 Million (United States Dollars Twenty Million Only), which was concluded in January, 2013
■The firm represented an international oil exploration company in an arbitration dispute with the Government of Uganda over the capital gains tax assessed by Uganda Revenue Authority worth USD 500,000,000 (United States Dollars Five Hundred Million Only)
■ Successfully represented a Ugandan Authority in an arbitration dispute worth 67 million Euros instituted by Salini Construtori
■Successfully represented an international oil exploration company in an arbitration dispute with the Government of Uganda over the capital gains tax assessed by URA worth USD 500 Million
■Successfully represented a Ugandan regulator in arbitration proceedings lodged by its former employees arising from a restructuring exercise carried out in 2016, with an aggregate claim of USD 3.5 million dollars

The practice covers the areas of tax planning, taxation disputes, taxation resolution and international taxation advice. The practice also facilitates negotiations with the Uganda Revenue Authority (URA) to settle and resolve tax disputes before the Tax Appeals Tribunal and courts of higher jurisdiction. The practice ensures that tax disputes are resolved in the quickest possible time, allowing clients to focus on other aspects of their businesses.
■Successfully represented an international oil exploration company in a USD 490 million dollar tax dispute against URA before Commercial Court of Uganda, revolving around Capital gains tax arising from disposal of interest in oil blocks
■Advised an oil company and subsequently successfully represented them in court in resolving a USD 343,260 Value Added Tax assessment related to the disposal of its assets during the restructuring of the company
■Representing a power distribution company in a USD 33.8 million dollar dispute against URA before the Tax Appeals Tribunal regarding the taxability of assets that were passed over from government to the Co. under a concession agreement

Telecommunications, Media& Technology (TMT):
The team is experienced in representing providers, clients and regulators of communications services, IT services and infrastructure, on a local level. Banking, Finance and Agricultural Practice:
