Privacy, Data Security and Governance
We advise clients on all aspects of their corporate compliance programs relating to privacy and data security, and often work with clients to set-up and maintain their internal programs. We work with clients to implement U.S. federal and state and international regulations (CCPA/CPRA/other state privacy laws, GDPR, TCPA, CAN-SPAM, COPPA, GLB, FCRA, HIPAA, etc.), address “privacy by design” for new products and services, comply with the privacy aspects of marketing and content distribution tactics (including online advertising and compliance with NAI, DAA, IAB and other self-regulatory programs, loyalty programs, text messaging, emailing, in-app messaging, gaming, third-party platforms and marketing to children), vendor onboarding and management, review, draft and negotiate data related third-party agreements (including DPAs), create internal and external privacy policies and security policies, hire and manage third-party vendors who provide data security related services, assist clients in preparing for and addressing data breaches, and internal training and reports.
InfoLawGroup provides our CPO on DemandTM service and acts as primary Privacy Counsel for numerous clients. We represent clients in regulatory actions related to privacy and data security and advise on all aspects of data governance related to M&A transactions.
Advertising, Marketing and Media
We counsel regularly on online and traditional advertising issues, Including to substantiate claims (e.g. comparative advertising claims, product efficacy claims, environmental (green) claims, etc.), launch promotions and apps on third-party platforms, structure incentive and customer loyalty programs, navigate complex regulated industries (including alcohol, online real money gaming, crypto, and cannabis), set pricing and sales policies and address trademark, copyright and right of publicity issues (including management of trademark portfolios). Our work in this area also includes National Advertising Division (NAD) and Children’s Advertising Review Unit (CARU) proceedings and compliance, sweepstakes, contests, giveaways and charitable promotions, endoresements, testimonials, blogging and the general use of social media. We also regularly draft and negotiate all the underlying agreements for marketing executions and content distribution, including marketing services agreements, sponsorship agreements, joint promotion agreements, production agreements, influencer/talent agreements, music licensing, content licensing, distribution of content on gaming and streaming platforms and commercial co-venture relationsships.
Technology
We regularly counsel clients on the compliance issues associated with the use of their and third-party technologies and the related contracts and transactions, including in the areas of online advertising and analytics, messaging providers, data mining, SaaS, software licensing, web, app and game development, e-commerce, loT and connected devices, affiliate relationships, use of open source code, and cyber security solutions.
We also counsel clients on ADA compliance and all aspects of protecting them in connection with their online activities, including via terms of use, terms of service and, where possible, taking advantage of the Communications Decency Act, the Digital Millennium Copyright Act and other similar legal tactics.
