Walter May has broad experience helping clients from start-up ventures to Fortune 500 companies complete the transactions critical to their success. He focuses primarily on mergers and acquisitions, having participated recently in a number of bank mergers (including the largest in Arkansas history), an electric cooperative’s acquisition of a major gas-fired generating plant, and a transportation company’s purchase of towing, barge and terminal operations on the McClellan-Kerr Arkansas River Navigation System. Walter also regularly represents borrowers in public and private financing transactions, which have included registered public note offerings totaling more than $1 billion, and the negotiation and documentation of revolving credit facilities ranging up to $500 million. During his career he has worked both with issuers and underwriters in public offerings of stock and debt, and he frequently advises clients on matters of federal and state securities laws.

-Represented electric generation and transmission cooperative as borrower under a $250-million syndicated revolving credit facility

-Represented public company borrower in $500-million unsecured revolving credit facility

-Represented issuer in registration and public offering of $350-million medium-term unsecured senior notes

-Represented purchaser in $20-million equipment purchase contract and investment in preferred securities of start-up manufacturing company

-Represented sellers in $63-million sale of community bank to public bank holding company

-Represented privately held transportation company in acquisitions of tow boats, barges and terminals on McClellan-Kerr Arkansas River Navigation System

-Participated in representation of public bank holding company in multiple acquisitions of community banks in Arkansas and Florida

-Represented electric generation and transmission cooperative in acquisition of 1600 MW gas-fired electric generation plant, including preparation of Hart-Scott-Rodino filings

-Represented issuer in registration and public offering of $500-million five-year and ten-year unsecured senior notes

-Represented electric generation and transmission cooperative in multiple project financings secured by assets subject to trust indenture
