Representing Baoshan Iron and Steel Co., Ltd. (“the Client”) in subscribing for shares issued by Nanjing Yunhai Special Metals Co., Ltd. (Stock code: 002182) to specific entities. Leveraging governance and personnel arrangements in the transaction documents, Attorney CHEN assisted the Client in successfully acquiring a controlling stake in Nanjing Yunhai Special Metals Co., Ltd.

Providing legal services to China National Building Materials (Anhui) New Materials Industry Fund Partnership (Limited Partnership) and multiple state-owned funds investing in Xi’an ESWIN Material Technology Co., Ltd. The target company is a leading domestic 12-inch silicon wafer manufacturer, with nearly CNY 4 billion in Series C financing, setting a record for the largest single private placement financing in China’s semiconductor silicon wafer industry. The project raised over CNY 10 billion in total and was recognised by Dacheng as the Best Deal of the Year - Best Private Equity and Investment Fund Project for 2023.

Providing legal services for China Mobile Equity Investment Management Co., Ltd. in setting up the Beijing LianChang Fund, with a total fund size of CNY 10 billion. Attorney CHEN’s team also advised the fund on its C+ round investment in Kunlun Core, a leading AI chip company spun off from a large tech conglomerate. This project required navigating state-owned supervision rules while enabling agile, high-tech investment strategies.

Representing Shanghai International Group in its strategic acquisition of a 25% equity interest in Shanghai Hutchison Pharmaceuticals via a dedicated M&A fund structure. This high-value transaction, completed in partnership with Shanghai Pharma, involved multi-level compliance work across SOE governance, equity investment, and public company disclosure, with a total deal size exceeding CNY 2.5 billion.
