Personal

Attorney Frank (Feng) Qu, the senior partner of Dentons, the leader of Dentons Financial Industry (China Region) and the director of Shanghai Office’s Financial Practice Department, is a leading commercial lawyer in China. Frank is admitted in both Chinese and Singapore bar with securities and futures qualifications. In his 26-year legal practice, he has provided many famous enterprises and financial institutions with extremely high-quality legal services with his outstanding professional ability and has won plenty of compliments.

Apart from his legal education, Frank has a Ph.D. in Business Administration and a Master's degree in Finance. Frank is a distinguished legal expert in the legal fields of finance and capital market, especially in asset securitization and financial derivatives, securities and futures, financial and capital markets regulatory, asset management and trust business, etc.. Work Highlights

Frank’s leading cases include but are not limited to:

Green ABN project: Providing specialized legal services for China Three Gorges Renewables (Group) Co., Ltd. to issue green ABN projects. This is the first carbon-neutral ABN in the country with the national new energy subsidy as the underlying asset. The scale of this issue is as high as CNY 2 billion.

Establishment of CEINEX: Providing specialized legal services for China Financial Futures Exchange (the “Client”), Shanghai Stock Exchange and Deutsche Börse to jointly establish the China Europe International Exchange (“CEINEX”). The cooperation agreement for this project was reached under the joint witness of the Premier of China’s State Council and the German Chancellor. The project has been awarded as the Deals of the Year by China Business Law Journal.

Issuance and Fund-Raising of A Shares and H Shares of Bank: Providing legal service for the issuance and Fund-Raising of A Shares and H Shares of Bank of Qingdao for ISP’s capital increase by way of share allotment. ISP is the largest bank in Italy and a European banking giant with a history of more than 400 years. The final aggregate proceeds of the Rights Offering of A Share and H Share are HK $ 5.134 billion (approximately RMB4.196 billion). This project has been awarded for many honors such as the Asia Legal Awards, China Business Law Journal and legal band and so on.

OTC financial derivatives transaction: Providing specialized legal services for Bank SinoPac (China) in its financial derivatives transaction with a non-banking enterprise. This transaction is the first time that the Client has adopted the OTC financial derivatives transaction structure in mainland China.

ABCP Project: Providing specialized legal services for Ping An Dianchuang International Financial Leasing Co., Ltd. (the “Client”) in its registration and issuance of Asset-backed Commercial Paper (“ABCP”). ABCP is a new financing instrument recently launched by the National Association of Financial Market Institutional Investors. The Client’s successful issuance provides a typical example for other enterprises to adopt the same way for financing in the future.

Cross-border financing project: Providing special legal services for debt restructuring of syndicated loan of China Development Bank Co., Ltd. Shanghai Branch in New Zealand Yellow Pages Group (about 2.2 billion AUD), including legal research, legal compliance, special consultation, egal opinion, etc..

Famous financial futures dispute: Served as the legal counsel for China Financial Futures Exchange for its disputes among Everbright Securities, Shanghai Stock Exchange, individual investor. The case was heard by the First middle court of Shanghai and the final judgment is favorable to Frank’s client. This case is unprecedented and has been reported by the media as the largest incident in the Chinese capital market to date. It attracted widespread market attention and had huge warning effect on entire capital market.

Frank Qu joined Dentons in 2001. He is the co-head of financial practice and sector and leader of financial derivatives group in the China region. He has extensive experience in advising domestic and international clients on both inbound and outbound transactions. Till now, he has assisted numerous clients in successfully completing the issuance of BOND,ABS, public REITs, CMBS, ABCP and other financial instruments.

Furthermore, he has also served as the director of the Futures Law Professional Committee and the deputy director of Financial Instruments Committee of the Shanghai Bar Association, the director of the Financial Law Research Association of the Shanghai Law Society, and a member of the China Financial Futures Exchange Case Review Committee, etc..
