Michele supports companies from startups to mature enterprises and served as chair of the firm’s Healthcare Group from 2010 to 2016.

Healthcare Transactions
I advise healthcare providers and industry stakeholders on transactional and regulatory matters, including providers and investors in the private equity space. My experience as a former in-house counsel at a major hospital system gives me a holistic perspective, informed with an understanding that the business of healthcare is not “business as usual,” I use this perspective to guide my clients through their legal and operational issues.
Alternative Delivery Systems
I help providers and investors achieve their goals of driving efficiencies, containing costs, and improving quality of care when advising on alternative delivery system structures. From analyzing existing models to implementing new ones like value-based contracting, accountable care organizations (ACOs), and hospital/private equity joint ventures, I apply my experience to the new models to support clients every step of the way.
Corporate Practice of Medicine, Fraud & Abuse, and New York State Regulatory
I identify transaction structures that may attract regulatory scrutiny and help clients address licensure, corporate practice of medicine, and fraud and abuse issues. I assist both local and out-of-state clients in healthcare mergers and acquisitions to navigate New York's regulatory environment and minimize risks. I am particularly knowledgeable of the increased focus on state law notice and disclosure requirements of material healthcare transactions.
/Looking ahead
Despite evolving regulatory and reimbursement risks, investors still seek top returns in healthcare businesses. As providers and investors become more accountable for cost and quality, they will increasingly partner, invest, and collaborate with digital health, AI, and other health technology companies.
