Work Highlights

Advised and successfully represented Asset Reconstruction Company (India) Limited (ARCIL) in initiating insolvency proceedings against Parsvnath Developers Limited before the National Company Law Tribunal (NCLT), Delhi. The admission of the insolvency proceedings was subsequently upheld by the National Company Law Appellate Tribunal (NCLAT) and the Supreme Court of India.

In parallel, Bahuguna Law Associates successfully defended proceedings initiated by Parsvnath Developers Limited before the Delhi High Court, wherein the company challenged the revival of the insolvency proceedings and sought to restrain ARCIL from exercising its rights under the Insolvency and Bankruptcy Code, 2016.

Advised and represented Beacon Trusteeship Limited in a Section 7 insolvency petition against Arcturus Developers Private Limited, a sister concern of Vatika Limited, concerning the status of optionally convertible debentures following issuance of a conversion notice. Successfully contended that the debentures continued to constitute “financial debt” under the Insolvency and Bankruptcy Code, as no effective steps had been taken to convert them into equity. Further established that, upon issuance of the Put Option Notice, the Corporate Debtor’s liability to redeem the debentures and pay the outstanding dues crystallised. The concurrent findings of the NCLT and NCLAT were upheld by the Supreme Court.

Advised and represented IDBI Trusteeship Services Limited, acting on behalf of Indiabulls High Yield Fund and Indiabulls India Opportunities Fund, in a Section 7 insolvency petition against Vatika Limited, successfully securing admission of the Corporate Debtor into the Corporate Insolvency Resolution Process (CIRP) in relation to ‘Project Aspirations’. Established the existence of financial debt and default notwithstanding part-payments made by the Corporate Debtor during the pendency of the Section 7 petition, following expiry of the debentures’ tenure.

Advised and represented RattanIndia Power Limited in proceedings concerning enforcement of an arbitral award after the award holder had lodged its claim in the Corporate Insolvency Resolution Process (CIRP), involving complex questions on the interplay between the Arbitration and Conciliation Act, 1996 and the Insolvency and Bankruptcy Code, 2016, including the applicability of the “clean slate” doctrine and whether liability could be extended to non-signatories in execution proceedings. Successfully established before the Delhi High Court that once a claim is lodged under the IBC framework, parallel execution proceedings cannot be maintained. The judgment has since emerged as an important precedent on the interplay between insolvency proceedings and enforcement of arbitral awards and was upheld by the Supreme Court.
