Matthias Kerbusch is a Partner at Clifford Chance. He advises international and domestic clients on forming and restructuring Luxembourg-based investment funds as well as certain global institutions on their investment activities (LP due diligence).
He has extensive experience advising on open and closed-ended alternative investment funds, including regulated vehicles (mostly Part II Funds and ELTIF structures in light of retailisation trends in private assets) and RAIFs and other AIF structures for unregulated Luxembourg vehicles. He also advises on UCITS structures and supports Luxembourg-based AIFMs with regulatory compliance advice.
The firm's clients he advises include funds and institutions from the private equity, venture capital, private debt, real estate, banking and infrastructure sectors, as well as other alternative asset classes. He drafts and amends fund constitutive documents, such as prospectuses and LPAs, and advises on regulatory implications of fund structuring. He also advises on end-of-term restructuring solutions and secondary fund transactions.
