A sampling of Mark’s nonprofit experience includes:
Lead counsel on numerous nonprofit acquisition and integration transactions over the past 25 years involving hospitals, federally qualified health centers, visiting nurse associations, and senior living facilities. These transactions have required multiple regulatory approvals, board education and guidance, negotiation of affiliation and integration agreements, and coordination of governance and compliance matters.
Serves as outside legal counsel to Dartmouth Health System, an integrated nonprofit health system in northern New England anchored by its nationally recognized academic medical center. We support Dartmouth Health’s growth through affiliation and integration transactions, advising senior management and the board, evaluating transaction structures, drafting and negotiating agreements, implementing governance changes, conducting due diligence, and securing necessary state regulatory and court approvals.
Represented The Prospect-Woodward Home, a nonprofit senior living facility, in negotiating a merger and $93 million tax-exempt bond financing to build a new continuing care retirement community. When the facility faced construction defects and financial challenges during the COVID-19 pandemic, the firm negotiated a forbearance agreement with bondholders and completed a sale to Covenant Living through Chapter 11 proceedings. Hinckley Allen secured all required regulatory and court approvals, obtained an emergency nursing home license, and successfully defended related litigation, ensuring that all resident obligations were met.
Mark McCue is Chair of Hinckley Allen’s Healthcare Practice Group. He advises nonprofit health systems, hospitals, continuing care retirement communities, and other providers on regulatory compliance, governance and corporate matters, tax-exempt issues, and transactions. He also represents a state-mandated health reinsurance program and vaccine association and has helped providers across the continuum of care create clinically integrated networks and joint ventures.
Mark works collaboratively with in-house General Counsel, combining legal experience with a strong understanding of organizational and industry challenges to deliver practical, strategic advice and structure sustainable, adaptive alliances and networks. He is well-versed in tax-exempt and regulatory approval matters and has built strong relationships with state regulators.
Mark serves on Hinckley Allen’s Executive Committee. Mark earned his J.D. and LL.M. in Taxation from Boston University School of Law and his A.B. from Brown University.
