Marcus J Dougherty

Marcus J. Dougherty is a partner in the New York office of Milbank, leads the leveraged finance practice in the US and is co-head of the firm’s Global Leveraged Finance Group. Mr. Dougherty’s practice focuses on representing banks and other financial institutions in senior lending transactions. He has over twenty-five years of experience in representing lenders in acquisition financings, including leveraged buyouts, tender offers and other going private transactions, recapitalizations, bridge and mezzanine financings, and DIP and exit facility financings. He has a broad range of financing experience in both US and international transactions and has been admitted to practice in England & Wales, Hong Kong and New York.

Select complex financings on which Mr. Dougherty was lead counsel, advising the financing sources, include: the preferred equity supporting security software company McAfee’s take-private acquisition, a transaction valued at over $14 billion – named “Private Equity Deal of the Year” by IFLR in 2023; financing for the $32+ billion acquisition of Medline Industries – noted by the Wall Street Journal to be one of the largest leveraged buyouts since the financial crisis; the take-private of Signature Aviation by Blackstone, Global Infrastructure Partners and Cascade Investment; Spanish public company Grifols, S.A.’s acquisition of German biotech company Biotest AG; The Crosby Group’s (a KKR portfolio company) acquisition of KITO Corporation, a Japanese public company, for a purchase price of 56.48 billion yen; Atotech’s approximately $1.8 billion cross-border refinancing; the $4.525 billion debt financing for the acquisition of Inmarsat plc.; The Carlyle Group and GIC’s €10.1 billion acquisition of AkzoNobel's specialty chemicals division (now called Nouryon).
