Marcin is the co-head of the Corporate Practice in Warsaw and has over 20 years of experience in advising international financial institutions, private equity funds and the largest Polish corporates on Polish and cross-border M&A transactions, including M&A work, private equity transactions, restructuring (including sale of distressed assets) and pre-sale restructurings.
Marcin is also the National Co-Managing Partner of the firm’s Warsaw office.
Recent notable engagements include advising:
• PGE Polska Grupa Energetyczna S.A. on the acquisition of the FEW Bałtyk II offshore wind farm project from the RWE group, as well as on the acquisition of environmental assets for the Baltica 9 project.
• Orlen S.A., one of the largest energy companies in CEE, on the €163m acquisition of 100% of the shares in S54 sp. z o.o., a company constructing a butadiene extraction unit at the Production Plant in Płock, from Synthos S.A., a leading European producer of synthetic rubber and polymer materials and one of the largest manufacturers of EPS insulation products in Europe.
• Cerberus Capital Management and Velobank on the acquisition of shares in Noble Funds, a fund management company, from the bankruptcy trustee of Getin Noble Bank and Idea Bank.
• ING Bank Śląski on its acquisition of Goldman Sachs TFI, Polish asset management company from Goldman Sachs International.
• Cerberus Capital Management on the PLN 1bn acquisition of shares in VeloBank.
• Cornerstone Investment Management on the acquisition of EcoWipes/Hydra Beauty & Clean, a leading European entity in natural personal hygiene and childcare products.
• Orange on its €605 million strategic partnership with APG to build a fibre-optic network across Poland.
• CRH on its recent divestment of its lime business in Poland.
• IFM Investors (jointly with a consortium) on the acquisition of the DCT Gdansk terminal, Poland's largest container terminal, for over PLN 5 billion.
• ING Bank on its asset management joint venture with Nationale-Nederlanden.
• The shareholders of PESA Bydgoszcz on its sale to the Polish Development Fund (PFR).
• Chariot Top Group BV on its €1 billion acquisition of a portfolio of 28 retail assets, including nine M1 shopping centres in Poland, and the subsequent partial resale to EPP.
