Luis has over 30 years of experience. His practice focuses on Private Equity, Venture Capital and Public, Foreign Investment, Mergers & Acquisitions, and Corporate matters, with emphasis on Real Estate transactions. He was a pioneer in Private Equity & Venture Capital, representing equity funds in transactional matters, and advisor to NAFIN’s Entrepreneurship Trust.

Work Highlights

Advised and represented TMF Group, a global management services advisory firm, in the negotiation and acquisition of the Mexican accounting firms, Grupo KMC Campos y Campos, S.C. and Matas Lorenzo, S.C. The two operations took place simultaneously to meet the client´s objectives and timelines. The recent acquisition will enable TMF Group to enhance its offering and provide added value to its clients in Mexico and around the world.

Advised Newell Brands Inc (NYSE: NWL), a global manufacturer, marketer and distributor of consumer and commercial products, in the merger between two of its most profitable Mexican subsidiaries: Newell Rubbermaid de México, and Sunbeam Mexicana to incorporate a $400 million dollars new company. The merger was a cornerstone in the corporate restructuring of the entire Newell group in Latin America, derived from the global acquisition of the Jarden group by Newell.

Represented Prairie Capital in the Mexican portion of the global sale of one of its portfolio companies, Architectural Lighting Work (ALW), a leader in providing interior and exterior architectural lighting solutions with LED lights to LMPG Inc, a leader in LED lighting solutions based in Montreal.

Advised Creation Technologies in the cross-border acquisition of Applied Technical Services, an electronics manufacturing services provider that designs and builds electronics components used in a range of products across industries.

• Represented Syntax Systems in the acquisition of Freudenberg IT Mexico (FIT), a global provider of cloud and Information Technology for first-rate medium-sized companies.

Advised Casa Dragones (Playa Holding Corporation) on its global expansion to start operations and the sale of its products in new countries, which entails the coordination, negotiation and preparation of several legal documents over multiple jurisdictions and connecting with legal teams of all over the world.

Advised Magaldi Group to expand its presence in Mexico, including the manufacturing of industrial systems. Magaldi is a world-leading manufacturer of and industrial systems.

Represented GEAR Alimentos and RUBE Alimentos, companies specialized in the production, packing and distribution of tomatoes for export to the U.S. market, in the negotiation process for the sale of their assets to Agrofibra, reaching a value of $20 million dollars.

Advised Fibra Plus, a Mexican Real Estate Investment Trust (REIT), and its relevant subsidiaries and related companies, in the conduction of an extensive internal property- level real estate due diligence process with respect to 57 individual properties within Mexico, with a total approximate surface of 600,000 square meters.

Advised Stephens Family in the negotiation, structuring and documentation of a multimillion-dollar sale of the real estate known as “Rancho Potrero” in Punta Diamante, a luxurious residential area located in Acapulco Diamante, Guerrero, one of the most iconic and exclusive beaches in Southwestern Mexico.

Advised Sotheby’s Concierge Auctions, the world-renowned luxury auction company, in the recent Real Estate deals carried out by Sotheby’s Real Estate auctions branch: Sotheby’s Concierge Auctions (SCA).
