Work Highlights

Represented, during the last 10 years, the United States International Development Finance Corporation (previously Overseas Private Investment Corporation) in the negotiation and structuring of several secured credit facilities, including in favor of Bien Para Bien, Vehículos Líquidos Financieros (Velifin) (Bien para Bien and Velfin focused on financing SMEs); CSI Leasing Mexico (financial leasing), Xtreme Cinemas (a chain of cinemas based on medium-sized cities) and Bravo Energy recycling industrial oils).

Advised Rotamundos, a hotel chain focused on rural tourism in Mexico and Latin America, in the structuring of a pre-seed and seed financing round.

Represented Doopla, a collective financing platform among equals, to obtain the authorization to operate as a fintech.

Represented Bravos Energía in the structuring of electric auctions in the private market.

Represented InnoHub Mexico in a growth investment by Banco Santander Mexico. InnoHub designs and implements B2B financial technology projects to digitally transform SMEs in Mexico and Latin America.

Represented Hospital H + Los Cabos in the initial equity capital raises and in its negotiations with the private equity fund that acquired a portion of the company.

Represented L’Atellier du Chocolat in its negotiations with the private equity fund that acquired a portion of the company.

Represented Kiwilimon in its negotiations with the private equity fund that acquired part of the company.

Represented Doopla, a peer-to-peer crowdfunding platform in obtaining its authorization from the Securities and Banking Commission to operate as a Fintech and in regulatory matters such as data privacy and antimony laundering.

Represented Briq.mx, a peer-to-peer crowdfunding platform for real estate developments in Mexico City.

Represented LenMi on regulatory matters. Lenmi is a lending platform with payroll discount focused on company employees.

Assisted ElevvA in the acquisition of several companies in Mexico who play specific roles in the e-commerce spectrum and hold a significant position in the sales of certain C2C and B2C platforms in Mexico.

Career

Fernando is a founding partner of the Firm with 21 years of experience, focusing his practice on M&A, Finance, Venture Capital and Technology, serving a broad portfolio of clients that includes investment funds, entrepreneurs, fintech companies, non-bank financial institutions and public and private companies. Fernando holds a law degree from Universidad Panamericana, a Master of Laws (LLM) degree from Pritzker School of Law and a Certificate in Business from Kellogg School of Management, both from Northwestern University. In 2007, Fernando participated as a Foreign Associate at O'Melveny & Myers, LLP, in Los Angeles, California.
