Regularly represents private equity sponsors and public and private companies in Japan and throughout the Asia-Pacific region (including Korea, India, Singapore, Hong Kong and Australia) and the United States. Practice spans a broad range of complex transactions, including mergers, acquisitions, dispositions, leveraged buyouts, joint ventures, carve-outs, recapitalizations, restructurings, de-SPACs, and asset management deals, as well as corporate governance matters, across a wide range industries, including infrastructure, real estate, technology, financial services, fintech, consumer, pharmaceuticals, industrials and energy. Recent representations include KKR in the $2.3 billion MBO of Topcon, its $4.1 billion acquisition of FUJI SOFT, and its $5.2 billion acquisition of LOGISTEED; Johnson Controls in its $8.1 billion sale of certain HVAC businesses including its JV with Hitachi; True Wind in its successful tender offer for 19% of SUNCORPORATION; Monex and Coincheck in connection with Coincheck’s “de-SPAC” business combination; and SoftBank in the $30 billion business integration of Z Holdings and LINE.
