Jerry Marlatt is a partner in Mayer Brown’s New York office and a member of the Corporate & Securities practice. He represents issuers, underwriters and placement agents in public and private offerings of benchmark debt, covered bonds, bank capital notes, surplus notes, securities of structured investment and specialized operating companies, and securities repackagings.
Representative transactions include the first covered bond by a US financial institution, the first covered bond program for a Canadian bank, the first SEC registered covered bond, senior debt and AT1, LRCN and other capital instruments for Canadian banks, surplus notes and common stock for a US monoline insurance company, and securities offerings for a variety of structured vehicles, including credit risk transfer entities.
Jerry is co-author of Considerations for Foreign Banks Financing in the US, published by International Financial Law Review (2012; updated 2014, 2016); a contributor to Covered Bonds Handbook, published by Practising Law Institute (2010; updated 2012-2014); and a charter member of the United States Covered Bonds Council. The IFLR1000 guide ranks Jerry has “highly regarded” in Capital Markets in the United States. The Legal 500 US 2023 recommends Jerry for Capital Markets: Global Offerings, which states he “…is at the forefront of global offerings by Canadian banks and pension funds, and is also a leader in covered bonds,” and also recommends him for Capital Markets: Debt Offerings, specifically noting that he “…is outstanding for covered bond programs for Canadian banks.” Chambers USA ranks him for Capital Markets: Securitization, and Chambers Global ranks him, as well, for Capital Markets: Securitisation in the United States. In addition, Jerry was named "Dealmaker of the Year" by The American Lawyer for his work as issuer's counsel on the first covered bond deal ever registered with the US Securities and Exchange Commission.
