Jay Spinola

Has 25 years of experience counseling investment companies, their boards and their sponsors in all aspects of their operations. Focuses on open-end funds, ETFs and complex closed-end funds, including the organization/offering of new funds, and counseling funds and their sponsors on fund structuring, regulatory and compliance matters, contract approvals, disclosure issues, restructuring and financing, and acquisitions. Frequently advises closed-end funds regarding secondary offerings, leverage and other capital markets transactions, along with strategies to address market discounts and dealings with activist investors. Also, serves as counsel to the independent directors of several fund groups.
