Personal

Yang Guisheng is a senior partner in Beijing Dacheng Law Offices, an internationally registered legal counselor, and a geological engineer. He serves as a legal advisor to the Ministry of Natural Resources of the PRC and the Ministry of Housing and Urban-Rural Development of the PRC, and is the head of both the Real Estate and Energy Professional Committee and the Energy, Natural Resources, and Environment Industry Committee at Dacheng. He is also a practical mentor for postgraduates at law school of Renmin University of China. Yang has seven years of experience in geological and mineral scientific research at China National Nuclear Corporation (CNNC). In addition, he holds various positions, including Director of the Legal Affairs Department of the China Mining Value-added Services Alliance, Researcher at the Land and Resources Law Research Center of China University of Political Science and Law, Executive Director of Mineral Resources and Material Application Innovation Platform of China, Non-ferrous metal industry expert pool experts, Member of the Professional Advisory Board of the Coleman Research Group, USA, Investment Promotion Ambassador of the Xi'an Municipal People's Government in Shaanxi province, and Guest Professor at universities such as Chengdu University of Technology, Peking University School of Earth and Space Sciences, Southwest University of Science and Technology, and China University of Geosciences (Beijing) Mining Development and Investment Strategy Advanced Training Programme (TCM). He is also a member of the expert team of LexisNexis, a senior trainer at the Dianjing Legal Network Academy, and an arbitrator for the Arbitration Commissions of Tianjin, Nanning, Beihai, and Changsha.

Work Highlights

Since 2014, Attorney Yang has served as the General Legal Counsel and Chief Coordinator, leading and coordinating legal teams across five countries/regions to provide comprehensive legal services for China National Nuclear Corporation (CNNC) in its cross-border acquisition of a 25% equity stake in Langer Heinrich Uranium Mine Company. He has long acted as the permanent legal advisor to the Ministry of Natural Resources of the People’s Republic of China.

As legal counsel to multiple state-owned enterprises, listed companies, and large multinational corporations (particularly in the mining and energy sectors), Attorney Yang has been invited to deliver keynote speeches at prominent international mining forums, including the 2015 China International Mining Conference, the 8th China-ASEAN Mining Cooperation Forum and Exhibition (2017), and the 2020 Asia Mining Innovation Summit. He maintains close collaboration with law firms, accounting firms, investment banks, and institutions across various countries/regions.

Attorney Yang has spearheaded or participated in major legislative initiatives, including revisions to the Mineral Resources Law, Land Administration Law, and Coal Law, as well as amendments to the Operational Guidelines for Lawyers in Mining M&A Transactions issued by the All China Lawyers Association. Building on his expertise, Yang authored and led the completion of influential works such as the ASEAN Country-Specific Legal Risk Assessment Report and Global Mining and Energy Investment and M&A Legal Practice and Case Studies. Additionally, his academic contributions include over 30 legal/geological articles published in prestigious platforms and journals.

杨律师于2014年担任法律服务总负责人和总协调人，组织、协调五个国家（地区）律师为中核集团收购Langer Heinrich铀矿公司25%股权的跨境矿业并购提供全程法律服务；长期担任中华人民共和国自然资源部常年法律顾问。

作为多家央企和上市公司等国内外大型企业集团、矿业能源公司法律顾问，杨律师多次应邀出席国内外矿业高峰论坛并发表专题演讲（如2015年中国国际矿业大会、2017第八届中国—东盟矿业合作论坛暨推介展示会、2020亚洲矿业创新发展高峰论坛），与多个国家（地区）律师（会计师）事务所、投资银行等机构合作密切。

杨律师多次主持或参加《矿产资源法》《土地管理法》《煤炭法》等重大立法活动、中华全国律师协会《律师参与矿业并购业务操作指引》修改。主持完成《东盟国别法律风险评估报告》《全球矿业能源投资并购法律实务与案例评析》等著作多部；在权威平台及报刊上发表法学/地质专业文章三十余篇。
