Work Highlights

EBRD - legal assistance in connection with a loan of EUR 9.75 million granted to a subsidiary of KESH for purposes of financing a floating photovoltaic plant on the Vau i Dejes hydropower plant reservoir (operated by KESH) with an installed capacity of 12.9 MW.

EBRD - Provided legal assistance in reviewing facility agreements, conducting legal due diligence, and issuing legal opinions for several secured loans granted under the Western Balkans Sustainable Energy Direct Financing Facility (WeBSEDFF) of EUR 50 million. These loans were extended to small and medium-sized enterprises operating in Albania.

EBRD - Legal assistance consisting mainly of review of facility agreements, performance of legal due diligences and issuance of legal opinions, in connection with a number of secured loans granted under the project namely Albania Agribusiness Support Facility to commercial banks and non-bank microfinance institutions. The project is developed by EBRD in cooperation with and with support from the Government of the Republic of Albania aiming to enhance access to finance for the Albanian agribusinesses through the commercial banks and non-bank microfinance institutions (such as Procredit Albania, Societe Generale Albania, Intesa Sanpaolo Bank in Albania, Raiffeisen). We reviewed the financing agreements from Albanian law perspective, corporate authorizations of the financial institutions, security package and issued an Albanian law opinion on the transaction.

Excelerate Energy Limited Partnership - assisted with the development of energy projects in Albania.

Trans Adriatic Pipeline AG (TAP) - legal assistance during implementation phase in Albania covering all legal matters mainly related to gas, hydrocarbons and energy law, corporate and financial law, competition, environmental and concession law, public procurement, expropriation, construction and urban planning, employment and social security, immigration, insurance, permitting requirements and procedures for the implementation of the project.

OTP Bank Plc. Legal assistance in relation to the purchase of ALPHA Bank Albania by OTP Bank for EUR 55 mln. Local counsel for Albanian law matters working in cooperation with the lawyers of Bird & Bird. Our work consisted in conducting legal due diligence, review on the transaction documents; assistance with regulatory filings (competition authority and banking authority) and other.

Piraeus Bank. Legal assistance in relation with the sale of its shares owned in the share capital of its subsidiary in Albania, Tirana Bank, for the value of EUR 57.3 million. Advised Piraeus Bank on the Albanian law aspects of the transaction. Assisted with the review of the sale purchase agreement (SPA) of the shares, drafted the transfer deed, advised on regulatory matters, banking and competition law, corporate and civil law.

Assisted the joint venture between China Everbright Limited and Friedmann Pacific Assets Management regarding the transaction of acquisition from the above joint venture of the shares of Tirana International Airport. We performed the legal due diligence, including reviewed the data room and the documents uploaded and prepared a due diligence report focused in corporate, commercial, contracts. Reviewed the transaction documents (share purchase agreement and any other related corporate documents/agreements).
