Mr. Rubin advises clients on a variety of executive compensation matters, including mergers and acquisitions (M&A), public offerings, equity and debt financings, executive compensation disclosure requirements, Section 409A compliance, golden parachute analysis and voting, employment and severance packages, and design and implementation of equity, phantom equity, incentive and deferred compensation arrangements.
In addition, Mr. Rubin advises clients on qualified retirement plan issues, including plan design, operation and termination, IRS audits and compliance with the Internal Revenue Code and the Employee Retirement Income Security Act (ERISA).
Mr. Rubin's clients include publicly traded and privately held companies in a variety of industries, such as private equity, technology, life sciences, healthcare and asset management. Mr. Rubin also represents individual executives and management teams.
