Career

Eduardo Pizarro is a partner of SMPS Legal, a multidisciplinary and international law firm committed to adding value through the services provided, and to serve clients in different jurisdictions in a comprehensive manner.

Eduardo’s practice includes legal advice and business planning for local and multinational companies. His corporate practice has particular emphasis on the creation and structuring of corporations, spin- offs, mergers and acquisitions, as well as all types of transactions and investments with Mexican and foreign capital.

Eduardo has over 25 years of experience representing clients in a wide variety of projects such as real estate transactions and investments, public and private mergers, creation and structuring, financings, joint ventures and strategic alliances, labor and social law, including individual and collective labor counseling. He also has experience in the coordination of civil and commercial litigation.

Eduardo’s main motivation is to be able to serve, help and be useful to his clients, helping them grow, and accompanying them in all their business processes. Eduardo provides a strategic approach in the development of his clients’ businesses, making a difference by providing solutions that impact the daily operations as well as the long-term clients’ objectives.

Eduardo Pizarro is a mentor at the Endeavor association, serving as a judge in the selection process, and a coach for entrepreneurs. He also offers pro-bono activities at Yibi, a civil association that helps Mixteco children.

Professional Memberships

Eduardo is a member of the Ilustre y Nacional Colegio de Abogados de México, A.C. and the Asociación Nacional de Abogados de Empresa, Colegio de Abogados, A.C. He is also a member of the Canadian Chamber of Commerce, the American Chamber of Commerce and the Mexico-Colombia Chamber of Commerce in Mexico City. He is the Special Projects Officer of the North American Regional Forum (“NARF”) of the International Bar Association (“IBA”), and actively participates as legal counsel to the representative office of the China Council for the Promotion of International Trade (CCPIT) in Mexico, which provides him with strong international exposure and cross-border experience.

Publications

Eduardo covered important labor and business topics in two key publications by LexLatin. In “Relaciones Colectivas de trabajo: ¿Qué implica el descuento obligatorio de cuotas sindicales”, he analyzed the legal and labor implications of mandatory union dues deduction. In “Nearshoring: ¿qué hace a México más atractivo frente a otros países?”, he explored factors that make Mexico appealing for foreign business and investment. In 2024, Eduardo participated as a panelist in “U.S. Elections: Regional Impact on Energy, Infrastructure, and Nearshoring,” an insightful session co-hosted by LexLatin and Monarch Global Strategies during IBA Mexico City Week. As a follow-up, he participated in 2025 as a speaker in “The Trump Administration and the Future of Free Trade in North America,” another event organized in partnership with the same institutions.

His track record includes high-profile M&A transactions, joint ventures, financings and strategic investments for clients such as Colson Group, Niedax Group, Falcon Plastics, Fortem Capital, Joy Dollar General, PesoRama, Cimbra, ATCO, Lufthansa, among others.

Mergers & Acquisitions

- Advised Colson Group on the Cross-Border Acquisition of Custom Engineered Wheels’ Mexican Operations.

- Advised advised Falcon Plastics in the acquisition of Avid International Molding Solutions’ manufacturing facility in Monterrey, Mexico.

- Advised Niedax Group on a Joint Venture with ABB.

- Advised Creditease, a China-based company, in their strategic acquisition of a Mexican company and another entity Sociedad Financiera de Objeto Múltiple (SOFOM). The objective behind this acquisition was to facilitate Creditease’s entry into the Mexican market, allowing them to initiate their operations in the region.

- Advised Orient World International Limited in the acquisition of the U.S. company Avery Consulting Group Inc. and the Mexican company Global Plastic Solutions, S de R.L. de C.V., dedicated to the manufacture and marketing of various products in the health and pharmaceutical sector (maquila).

- Advised Fortem Capital in a JV project with GBM Real Estate, one of the most important investment funds in Mexico, for the development of a luxury residential and touristic development in Los Cabos, Baja California Sur, one of the most attractive destinations in Mexico.

- Advised CVL3 Americas in the due diligence and the acquisition via merger of the Mexican subsidiaries owned by the counterparty and in the merger with Industrial Dynamics Company Holdings, Inc.

- Advised H&T, one of China’s top high-tech enterprises, specialized in intelligent controller technology R & D, product design, software services and products manufacturing, in different corporate, employment, real estate, contractual, immigration, foreign trade, tax, IP, and regulatory matters, starting with the prompt and successful incorporation of one subsidiary in Mexico.

- Advised Dollar General in different corporate, employment, real estate, contractual, and regulatory matters, starting with the prompt and successful incorporation of three subsidiaries in Mexico.

- Advised MCA Group, one of the largest infrastructure Portuguese companies, in acquiring a subsidiary of Grupo TRS that own a concession to receive, manage and operate waste facilities in Merida, Yucatan. (M&A)

Banking & Finance

- Advised Pesorama, Inc., a Canadian company operating discount retail stores in Mexico under the JOi Dollar Plus brand, in connection with the legal due diligence of its Mexican subsidiaries as part of a C$21 million cross-border refinancing transaction.

- Advised a Mexican family office on the refinancing of a US$80.24 million syndicated credit facility, originally led by BBVA and refinanced by Banamex, in connection with Torre Chapultepec UNO, one of Mexico City’s landmark mixed-use developments.

- Advised PesoRama, Inc. In a revolving credit facility for up to US$ 20.0 million (Financing)

- Advised T69 in the corporate restructure, development, and commercialization of a landmark 58-story building which consists of 30,000 square meters of office space, 64 apartments and the first Ritz-Carlton hotel in Mexico City. The iconic building is now the second highest building in Mexico City.

Real Estate

- Advised a Mexican Family Office on the US$80.24 Million Refinancing of a Syndicated Credit Facility for Torre Chapultepec UNO.

- Advised Fortem Capital, who made a second CKD issuance for a total amount of up to USD $91.5 million with the participation of institutional strategic investors from the Mexican pension system and the private sector, to be invested in real estate assets and the acquisition of built properties.

- Advised Papaya Playa Project, one of the most important hotel resorts in Tulum, Quintana Roo, in the negotiation of a certain amendment to the lease agreement entered into with the operator of one of the hotels located in the property owned by Papaya Playa Project.
