Capital Markets & Structure Finance:
RCCD’s capital markets practice is active in a number of areas, including rights issues, bond issues, equity-linked transactions, convertibles and exchangeables, hybrid/innovative capital instruments for banks and insurance companies, public and private securitisation and covered bond transactions, and in the setting up of principal finance platforms in Italy. RCCD’s capital markets expertise also includes a strong retail products practice, where RCCD’s lawyers regularly assist major international and domestic banks and companies in setting up offering and listing programmes of retail products as well as in stand-alone transactions relating to both debt instruments and securitised derivatives, also advising on related regulatory issues. In the field of non-performing loans portfolio, RCC combines its significant and recognised experience in the practice areas of structured finance, debt recovery, bankruptcy/restructuring and real estate law, providing uninterrupted assistance to investors and different kinds of entities (such as funds, market players operating in special situations, leading credit institutions, servicers, etc.) in the acquisition/sale of portfolios of impaired (including unlikely to pay) and/or non-performing receivables, as well as in the setting-up of platforms designed for investing in – and optimising the management of – such asset class, including through the use of securitisation technology.

Banking:
RCCD’s banking practice advises a broad base of clients on financing transactions, collateralised and non, revolving and liquidity loans, margin loans, structured and syndicated financing deals and factoring, from structuring to completion. RCCD’s banking clients include leading international and domestic financial institutions, acting as arrangers and agents, as well as corporates and investment funds, acting as investors or sponsors. RCCD finance team also advises on the execution of substantial lending programmes to enterprises and in the execution of complex financing structure aimed at the provision of micro-credit.

Restructuring & Insolvency:
RCCD’s restructuring and insolvency team provides integrated and highly experienced advice on standstill agreements, refinancing agreements, moratoriums, bridging finance, debt restructuring arrangements, including corporate governance, criminal liability aspects and exit strategies and in the structuring and implementation of procedures involving compositions with creditors. RCCD also advises clients through the different stages of insolvency and pre-insolvency situations, from restructuring procedures to contentious situations arising from financial crisis, offering guidance and advice in the management of relationships with credit institutions, insolvency practitioners and judicial authorities and in the negotiation between parties.

Regulatory & Litigation:
RCCD’s regulatory practice advises banks, insurance companies and other financial intermediaries, listed and unlisted, on the regulation of markets and products, compliance, market abuse, investment activities and services, client-intermediary relationships and on the regulatory and prudential supervision of regulated entities. RCCD’s in-depth knowledge of the regulatory context and its continuous evolution, is combined with their experience in the structuring and implementation of financial transactions and their dispute resolution expertise, all of which involve the workings of the regulatory framework. RCCD’s dispute resolution team has developed significant expertise in contentious matters relating to financial markets, banking, insolvency and corporate law, both domestically and cross-border. RCCD is often instructed to adopt the role of coordinator for proceedings which are based in Italy involving international clients and have also matured specific experience in internal investigations, advising international banks on highly sensitive procedures. The breadth of RCCD’s dispute resolution expertise within the financial services sector, combined with strategic management of judicial and extra judicial situations and in-depth technical knowledge of the banking, corporate and regulatory sectors allows RCCD to provide extremely competent advice both in litigation, ADR and regulatory situations.

Derivatives:
RCCD derivatives experts advise on all types of derivative transactions and assist a broad range of clients in the structuring and execution of ISDA derivative transactions and in all related legal issues, regularly collaborating with RCCD banking and capital markets teams.

Corporate, Commercial & M&A:
RCCD provides strategic, focused advice on all stages of a broad variety of corporate transactions, from due diligence to structuring, to drafting and negotiating documents to completion and post-closing, bringing sound judgement and best practice to clients. RCCD’s team of corporate lawyers is experienced in acting on M&A matters, ongoing corporate matters and on joint venture transactions, and operates on the basis of consolidated relationships within industry and commerce, investment banking, financial institutions, private equity and venture capital funds. Real Estate:
