Main Areas of Practice: 

Banking & Finance:
The Firm advises both international and local renowned financial institutions and borrowers in bilateral or syndicated lending, sovereign lending and sovereign guaranteed lending to private and state owned entities, as well as in other domestic and cross-border lending transactions. The Firm also advises clients on senior and mezzanine financing structures and inter-creditor matters and assists international arrangers and Croatian corporations in connection with debt and equity offerings, as well as on workouts, restructuring, debtor-in-possession financing and exit financings.

Corporate & Commercial, M&A:
The Firm advises renowned international clients, private equity and multinational companies in their cross-border M&A deals in Croatia and has the capacity, knowledge and experience to take on high-profile corporate transactions. The Firm regularly conducts due diligence procedures of target companies to identify potential risks affecting commercial terms of M&A transactions and advises clients in negotiations over multi-party Share Purchase Agreements, Shareholders’ Agreements and other transaction documents. Oil & Gas, Energy:

The Firm advises clients on national and the EU competition rules and acts for them in the procedure for assessment of compatibility of concentrations between undertakings, and the obtainment of clearances for concentrations from the Croatian Competition Agency. The Firm also acts for clients in cartel investigations before the Croatian Competition Agency and advises clients in the process of eliminating harmful effects of anti-competitive behaviour.

Real Estate & Property Development:
The Firm provides legal advice to clients from the start-up of their business activities in Croatia to the completion of their real estate and property development projects. The Firm works directly with prominent project developers and renowned banks to ensure real estate financing, and advises on matters related to purchase of land, construction and development of shopping centres, marinas, tourist resorts, and the development of infrastructure.
