Main Areas of Practice:
Banking & Finance:
The firm advises international banks and local borrowers in bilateral or syndicated lending, sovereign lending and sovereign guaranteed lending to state-owned entities, as well as in other domestic and cross-border lending transactions. The firm also advises clients on senior and mezzanine financing structures and inter-creditor matters and assists international arrangers and Croatian corporates in connection with debt and equity offerings, as well as on workouts, restructurings, debtor-in-possession financings and exit financings.

Corporate & Commercial, M&A:
The firm advises international clients and multinational companies in their cross-border M&A deals in Croatia and has the necessary capacity, knowledge and experience to take on high-profile corporate transactions. The firm conducts due diligence procedures of target companies to identify risks affecting commercial terms of M&A transactions and advises clients in negotiations over multi-party Share Purchase Agreements, Shareholders’ Agreements and other transaction documents. The firm also advises on corporate governance, board control and reorganisation matters, the structure of public takeover proceedings and the structure and enforcement of option rights (tag-along, drag-along, call, put, etc.).

Oil & Gas, Energy:
The firm acts for leading international export credit agencies and investment funds in the development and financing of some of the largest energy projects in Croatia. The firm also advises reputable international clients in landmark oil and gas deals in Croatia, LNG and renewable energy projects in Croatia, particularly by steering due diligences, resolving regulatory and state aid issues and advising on EPC and O&M contracts under Croatian law. The firm has a framework agreement with the Croatian Government’s Centre for Monitoring Business Activities in the Energy Sector and Investments to act as legal advisor in strategic energy investments.

Competition & Antitrust:
The firm advises clients on national and the EU competition rules and acts for them in the procedure for assessment of compatibility of concentrations between undertakings, and the obtainment of clearances for concentrations from the Croatian Competition Agency. The firm also acts for clients in cartel investigations before the Croatian Competition Agency and advises clients in the process of eliminating harmful effects of anti-competitive behaviour.

Real Estate & Property Development:
The firm provides legal advice to clients from the start-up of their business activities in Croatia through to the completion of their real estate and property development projects. The firm works directly with project developers and banks to ensure real estate financing, and advises on matters related to purchase of land, construction and development of shopping centres, marinas, tourist resorts, and the development of infrastructure. The firm also acts in complex real estate-related litigation proceedings.

Capital Markets:
The firm is considered by issuers and investment banks as a firm to work with in the most complex Croatian capital markets transactions and securities offerings, both in equity and debt capital market projects.
