Recent transactional highlights during 2023

Banking & Finance:


  1. Advised Arab Company for Projects and Urban Developments and Al Faisal Real Estate in relation to a development, operation and investment agreement in El Rehab and Madinaty with a value of 800 Million US Dollars.
  2. Advised a consortium of prominent financial institutions, including Abu Dhabi Islamic Bank, Al Baraka Bank, Egyptian Arab Land Bank, Mid-Bank, Housing and Development Bank, and Attijari Wafa Bank, in connection with a syndicated Sharia-compliant facility in structured in the form of Islamic Mudarbah, which was granted to Al Kharafi National for Infrastructure Projects Developments, Construction and Services S.A.E with a value of 1.650 Billion Egyptian Pounds.
  3. Acted as a legal Counsel to both Banque Misr and Emirates NBD with regard to a long term facility granted to Beyond Sky Real Estate Projects. This facility, is earmarked for financing the construction and operation of “Park Street East”, a commercial and business complex situated in the 5th settlement, New Cairo with a value of 3.05 billion Egyptian Pounds.
  4. Provided legal advice, assistance and financial solutions regarding a syndicated Sharia compliant facility granted to Raya Holding, in the form of Islamic Mudarbah with a value of 1.5 billion Egyptian pounds.
  5. Advised Banque Misr, Abu Dhabi Islamic Bank, Al Baraka Bank, and the Arab Banking Corporation regarding the completion of a syndicated Islamic Mudarbah facility, with the aim of financing working capital requirements for the Borrower Redcon Construction with a value of 2.85 billion Egyptian pounds.


Capital Market:


  1. Acted as the legal advisor of Emirates Global Investment Company, where the company completed an acquisition of 30% of the total shares of the Egyptian Eastern Tobacco Company, a deal that was executed by the Egyptian Stock Exchange. The deal was valued at 19,336,625,000 Egyptian pounds.
  2. Acted as the legal counselor of Mashreq Bank UAE in relation to a facility granted by Mashreq Bank UAE to Arabtec Construction Dubai and its assignment to the new borrower Arabtec Egypt for Real Estate Development.
  3. Represented the Arab Company for Tourism and Hotels Investments (ICON) an affiliate of Talaat Moustafa Group, in finalizing the acquisition of a majority stake in Legacy for Hotels and Tourism Projects. Legacy is the owner of 7 historic hotels in Egypt, owned by the Egyptian General Company for Tourism & Hotels (EGOTH), and the Egyptian Sub-Fund for Financial Services (A subsidiary of the Sovereign Fund of Egypt). The acquired hotels are: the Sofitel Legend Old Cataract Aswan, Mövenpick Resort Aswan, Sofitel Winter Palace Luxor, Steinberger Hotel Tahrir, Steinberger Cecil Hotel Alexandria, Marriott Mena House Cairo, and Marriott Omar Khayyam Zamalek. The deal had the value of 800 Million US Dollars.


Consultancy:


  1. Advising the Main Development Company (MDC) of the Suez Canal Economic Zone on the contracts concluded with investors within the zone.
  2. Advising Delta Logistics for Transport and Storage on its business contracts.
  3. Advising Mirasco International Trading on its business contracts.


Litigation:


  1. Represented Arab Company for Projects and Urban Development in a dispute against Mr. Hamdy El-Fakhrany amounting 9.9 billion EGP.The firm’s team has succeeded to obtain a judgment in favour of the client.
  2. Represented Arab Company for Projects and Urban Development in a dispute against Mr. Ahmed Abd Al-Baser amounting 2 billion EGP. The firm’s team has succeeded to obtain a judgment in favour of the client.
  3. Represented Port Venus Company in a dispute against Mr. Hamdy Al-Fakhrany amounting to 1.2 million US Dollars. The firm’s team has succeeded to obtain a judgment in favour of the client.
  4. Represented Sinai for Cement Company in a dispute against Sinai for White Cement (Portland) amounting 172 million EGP. The firm’s team has succeeded to obtain a judgment in favour of the client.
  5. Represented Mr. Ahmed Essam Sami in a dispute against Aiwan Company for investment amounting to 50 million EGP. The firm’s team has succeeded to obtain a judgment in favour of the client.
