Banking, Finance & Capital Markets:
NPT is constantly providing services to the most important banks of Ecuador, including Pichincha, Produbanco, Bolivariano, Internacional and Citibank. The firm also acts as local counsel to other foreign banks and multilateral credit institutions. Recent experience includes advising Oikocredit, Banco Latinoamericano de Comercio Exterior (Bladex), CAF, the assessment on cross-border transactions with Citi, Banco Santander and Goldman Sachs, and on the financing operation of the Sacyr-Herdoiza Crespo Construcciones Consortium on the Ipiales-Pasto highway.
NPT has a strong practice in this area and its past experience includes representation of several clients in different business fields. The firm has stood out for its participation in the assessment on the acquisition of a local pharmaceutical company, the merger of companies in the automotive sector, the acquisition of two companies in charge of the freight operation in the Quito and Latacunga airports, paint manufacturer, food, media industry, the acquisition of the majority stock of Biela by Heineken, QBE Seguros Colonial by Zurich, among others.
NPT frequently acts in complex constitutional, administrative, civil and commercial litigation. The firm has been involved in the dispute of the broadcasting rights of the Ecuadorian soccer association and in other relevant proceedings such as a civil trial aimed at lifting the corporate veil of a globally known lubricant company and the defense of damage claims against national and international companies.

NPT is very active in labour and employment. The firm represents several clients in different labour intensive industries, such as, Kimberly Clark Ecuador, Herdoiza Crespo Construcciones, Banco Bolivariano, Life, Gente Oil, DHL Aviation, among others.
The firm is advising a consortium of European companies in the bidding of two renewable power generation projects (wind and solar). Recent engagements also include providing services to Cobra Group-ACS (oil and gas division) in the bidding, negotiation and execution of an integrated risk service contract with Petroamazonas EP for the Cuyabeno field.
NPT’s tax team is characterized by an on-going search for innovative solutions that best suit the interests of our clients. The firm has stood out for its assessment on diverse transactions and corporate restructuring for both national and international companies belonging to diverse areas, such as public infraestructure, retail and the agro-industrial sector.
The firm is very active in the arbitration field both in domestic and international proceedings. In this sense, our managing partner, Marcelo Torres, is the current President of the Arbitration Center of the Chamber of Commerce of Guayaquil, one of the most respected arbitration forums of the country. As for international matters, NPT has participated in ICC and CIAC-CIRD cases, and is currently involved in an international arbitration under UNCITRAL rules before the Permanent Court of Arbitration (PCA) in The Hague. All partners have participated as expert witnesses in several international arbitration proceedings.
NPT has been involved in due diligence processes of market leaders in the following sectors: food and beverage, ceramics, home appliances, sugar and ethanol production, metal and pharmaceutical. NPT has provided legal advice in a bid rigging investigation and assessed diverse confidential transactions with relevant antitrust implications.
NPT’s Environmental Department has a multidisciplinary team that combines technical and legal knowledge. They have carried out multiple environmental due diligence processes for companies at the forefront of the food, wastewater, agrochemical and aerofumigation industries. They have also represented various clients in administrative, civil and criminal proceedings.
