Corporate/ M&A:

The firm’s corporate work is diverse and significantly wide because of the firm’s wide and cross-border clients, which have corporate development’s strategies and improvement, as well as the firm’s recognition as leader in the private equity industry. Hernández & Cía. Abogados recently advised The Abraaj Group -leading private equity investor operating in global growth markets- in the acquisition of a majority stake in Casaideas. In addition, the firm advised a minority shareholder group of Compañía Minera Milpo S.A.A. in the transfer of their jointly stake of shares (20.17% of total capital stock) in favor of Votorantim Metais – Cajamarquilla S.A. The firm also advised The Carlyle Group in its second private equity acquisition in Peru, pursuant to which Carlyle acquired a controlling equity stake in the leading Peru-based cash management company Hermes Transportes Blindados S.A.

Banking & Finance:
This firm’s practice covers a wide range of areas in finance such as project finance, commercial and investment banking, loans and syndicated loans, structured finance and security structures. The firm advised Chubb Seguros in the restructuring of a debt it held with Graña y Montero S.A.A. (‘GyM’), resulting from the execution of a surety bond issued by Chubb Seguros securing Gasoducto Sur Peruano in favor of the Ministry of Energy and Mines of the Republic of Peru. In addition, the firm advised Terminal Internacional del Sur S.A. – TISUR - in the Project Financing of US$280 MM provided by Sumitomo Mitsui Banking Corporation, Credit Agricole Corporate and Investment Bank, New York Branch, Mizuho Bank, Ltd. and Natixis New York Branch, for the expansion of the Matarani Port.

Capital Markets:
Hernández & Cía. Abogados has been involved in several of the most cutting-edge domestic and cross-border capital markets transactions executed in Peru. For example, the firm has advised the Republic of Peru in the international issuance of 1.1 Billion Euros of Sovereign Debt due 2026, arranged by BBVA, BNP Paribas and JP Morgan who acted also as Global Coordinators and Underwriters, as well as in the international issuance of US$ 1.25 Billion of Sovereign Debt due 2027, where Citigroup and JP Morgan acted as underwriters. In the domestic market, the firm advised two of Carlyle’s Group operating subsidiaries in Peru, Hermes Transportes Blindados S.A. and Azzaro Trading S.A., holding of leading companies in surveillance services and electronic security industry, in the listing of 100% of its shares in the Lima Stock Exchange.

Tax:
This area shows extensive development in all the different taxation matters. It includes preventive and further advice related to internal taxes, tax planning, comprehensive audits of tax compliance, promotion systems, as well as assistance and legal defence against inspections and administrative or judicial proceedings with the Tax Authority. For more than 15 years, the firm is recognised as the firm with the strongest tax area of Peru. The firm’s founding partner, Luis Hernández, is renowned as an eminent and accomplished practitioner in the field for both the companies and technical and political authorities.

Projects:
This practice area includes the services of structuring, negotiating and implementing the financing properly in any modality, such as direct, syndicated or structured transactions, among others, including the definition and constitution of the securities mechanisms appropriated for each operation. The firm advised an important construction company in Perú to participate in the public bidding process for the ‘Carretera Longitudinal de la Sierra Tramo 4’. The project comprises the improvement and rehabilitation of a 970 km long highway that crosses several regions in Perú. The firm also advised to Banco Santander S.A. (Spain), SMBC and other banks regarding the syndicate process of the $200 million long term financing in favor of Concesionaria Vial Sierra Norte S.A (CONVIAL), concessionaire of ‘Carretera Longitudinal de la Sierra Tramo 2’ project.

Energy:
The energy practice provides 360° advisory on the development, finance, construction and operation of energy projects. Recent experience, among others, has consisted on advising Enel Green Power Peru on the development of its Solar (Ruby 144MW), Wind (Nazca 126MW) and Small Hydro (Ayanunga 20MW) renewable energy projects. Additionally, the firm counselled Grupo Distriluz (most important of public distributors in Peru) in their power acquisition strategy and Empresa Línea Transmisión CCNCM (Cobra Group) on its 371 km Carhuaquero-Moyobamba project.

Mining & Environmental:
The firm provides advisory related to all stages of the mining industry, starting with exploration and development of operations to the extraction stage, processing of the minerals and trade. The firm actively participates in the designing and negotiation of the agreements for the acquisition of mining interest. The firm supervises the revision and obtain the required permits, authorisations, registrations, and licenses for each stage of the mining activity. The firm’s knowledge of the industry enables it to provide advisory to national and international corporations, either in operations or in the exploration stage, and to all companies, regardless of their size.

Arbitration & Litigation:
Expertise focuses on planning the cases’ approach and the strategy we follow, as well as in the professional and academic quality of the firm's lawyers. The firm has extensive experience advising local and international clients, both in local courts and in local and international arbitration proceedings on cross-borders disputes. The active participation of firm lawyers in this field includes constant involvement as arbitrators in Arbitration Tribunals, which allows the firm a close knowledge of the matters and people involved on this field.
