M&A/Corporate: 

For more than 28 years, Glatzova & Co has advised on the most complex national and international transactions across all industries. It also seamlessly collaborates with international law firms on global transactions and manages complex deals involving different jurisdictions. A team of dynamic and dedicated lawyers, led by Vladimíra Glatzová, Jiří Sixta and Jan Veselý in Prague and Veronika Pázmányová in Bratislava, guides clients through all transactional phases and provides them with assessment of the legal risks without burdening them with unnecessary information. Glatzova & Co’s client range includes global corporations (such as NortonLifeLock, Moody’s, Amadeus, etc.) and top local companies. Last year brought a significant increase in our engagement in solvent intra-group restructurings (e.g., for Dentsu, Manuvia, and Expandia). Notable local clients include Pale Fire Capital and Reflex Capital, focusing their investments primarily in technology companies.

Banking, Finance & Capital Markets: 

Glatzová & Co. provides a full range of legal services in the area of banking and finance. Glatzova & Co. advises both lenders and borrowers on local and cross-border financial transactions, frequently in collaboration with international law firms, including managing complex deals involving different jurisdictions. The firm also covers all areas of financial services regulation. Glatzova & Co. has strong know-how and a proven track record in regulatory matters. The team, led by Martin Dančišin and Libor Němec, enjoys a strong reputation with both local and international finance institutions and private investors. The firm has in-depth experience in acquisition and project financing and syndicated and consumer loans. In the past year, the firm has also advised on multiple note programs, several of which were listed on the Prague Stock Exchange. Among its clients in this area are Raiffeisenbank, Komerčni banka, Všeobecnáúvěrová banka, ČSOB, KBC NV, J & T BANKA, a.s., SMART Capital Group, DRFG, and Natland Group.

Real Estate: 

Glatzova & Co.’s real estate team has broad experience in complex real estate transactions (including the hotel industry, industrial sites, and logistics), real estate finance, as well as in providing complex legal support in real estate and infrastructure development projects. Glatzova & Co. advises its clients in complicated planning and building proceedings, including projects involving landmark protection. The team, led by partner Erik Kolan, represents a number of developers in similar processes. Glatzova & Co.’s clients include real estate developers such as HB Reavis, Landia Management, Discovery Group, and Verdion. The firm also has a long-term relationship with Erste Group Immorent Czech Republic, a subsidiary of Erste Group Bank AG, part of a banking group focused on real estate financing and project development in Central, Eastern, and South Eastern Europe, having advised them on more than 15 projects.

Litigation & Arbitration:  

Glatzová & Co. has extensive experience in representing clients in court and domestic and international arbitration proceedings in various fields of law, across all business sectors. While the team, led by Jindřich Král, Martin Dančišin and Veronika Pázmányová, has a high success rate in litigation, its priority is obtaining the best result for its clients. In many cases, this is achieved through negotiating an amicable settlement. Most recently leading multimillion dollar settlement between, European supercomputer processor designer Tachyum and Cadence Design Systems.

Restructuring & Insolvency: 

Glatzova & Co. has broad experience with insolvency and restructuring. The team led by Martin Dančišin, has represented its clients in creditor committees in a number of insolvency proceedings and has in-depth experience in creditor management of bankruptcy estates. The firm’s lawyers are also experienced in acquisitions and sales of property from bankruptcy estates. Glatzova & Co. has actively participated in almost all major insolvency proceedings in the Czech Republic in the past 10 years, including OKD, Vítkovice Power Engineering, Vítkovice Gearworks, Papcel, Oleo Chemical, Thomas Cook, and PSJ. Most recently, Glatzova & Co. represented a group of entities in incidental proceedings on contesting actions against the insolvency trustee in the Arca Investments’ insolvency proceedings, one of the largest cases of this type in the Czech Republic and Slovakia.

Labour:  

Glatzová & Co. is known for its excellent services, provided across the full spectrum of labour law and related legal services for clients operating in various areas of business. The labour team, led by Jiří Sixta and Veronika Pázmányová, provides comprehensive labour law, employment, and data protection advice to numerous significant clients from the automotive sector, including Ford Motor Company, Mazda Motor Logistics, Renault Trucks Czech Republic, IACG, Auria Solutions, and Tiberina Automotive. Specific issues for these clients include labour law aspects of engaging non-Czech managers, implementing global policies, and global management of their companies. Glatzova & Co. also represents other high profile companies, including: Take-Two Interactive/2K Czech, OLX, Showmax, Travelex, Moody’s, Hypoteční banka, ČSOB Pojišťovna and Raiffeisenbank, and provides them with advisory services on specific issues related to their business sectors. The firm also advises on non-competition, confidentiality and non-solicitation matters, data protection, and protection of copyrights, as well as helping managers when negotiating the conditions of their employment, employment termination, or claiming rights against companies.

Energy & Utilities:  

Glatzova & Co. is a trusted adviser to both the public and the private sector on virtually every aspect of energy law, including construction/development of power plants, regulatory, antitrust/competition, complex transaction, and litigation issues. Its key expertise is in the area of renewable energy sources. The energy team, led by Erik Kolan, has advised major banks on financing and refinancing projects (e.g. Raiffeisenbank, Komerční banka, Erste Group Immorent), as well as investors on development and regulatory issues when setting up and operating facilities, completing extensive M&A transactions when purchasing and divesting (e.g. Pražská energetika and DRFG), and litigating in numerous administrative and civil law matters (including investment treaty arbitration) including regulatory aspects of the renewables support scheme (e.g. Mondi Štětí, Solar Černilov, and numerous operators of solar power plants).

Competition & Antitrust:  

Glatzova & Co. has extensive experience in all areas of competition law, including antitrust clearances, disputes related to abuse of a dominant position, subsidies and state aid, and advises on issues related to cartel agreements, including block exemptions and leniency programmes. The firm’s lawyers, led by Jindřich Jelínek, also provide clients such as the Ford Motor Company, Mazda, Jaguar, and Jaguar Land Rover Austria with ongoing advice on competition law (vertical agreements) and has represented them in proceedings at the Czech and Slovak Antimonopoly Office and the courts.
