Glatzova & Co. is experienced in all stages of M&A transactions and privatisations, from transaction structuring and due diligence through drafting and negotiation of complex transaction documents, closing and post-closing issues including public offers, squeeze-out of minority shareholders and de-listing. The firm is skilled in corporate restructuring including cross-border merger. Glatzova & Co. has been very active in energy sector (E.ON, New World Resources (NWR), Electricite de France, Dalkia, MVV Energie CZ and RWE) or, more recently, Czech investment arm of KKCG and PRE (in several acquisitions in the area of renewable energy projects). It is also a specialist for acquisitions in the area of internet retail/websites in general as well as in software area. Glatzova & Co. clients include Netretail Holding BV (parent company to Internet Mall, leading operator of internet shops in Central Europe), financial investors (e.g. Warburg Pincus of Spread Capital SE) and fast growing software developers/distributors (e.g. Y Soft or itelligence). Banking, Finance & Capital Markets:
Glatzova & Co. handles structuring transactions in all areas of financing, drafting and negotiating contractual documentation on behalf of both creditors (banks) and debtors, legal advice on banking regulations, regulation of capital markets and collective investment, IPOs, transactions with financial and commodity derivatives, securitisation, legal advice on financial leasing of real property and other assets. In 2015 Glatzova & Co. advised Alltub Group in connection with EUR€74 million refinancing, Reichhold Group in connection with issue of USD$154,171,000 senior secured notes and USD$80 million PIK promissory note or Messer Group in connection with EUR€160 million refinancing. Further, Glatzová advised ČSOB in connection with contemplated acquisition of retail business of the Czech branch of Citibank Europe, and managed to attract some important new clients, e.g. ESSOX or DRFG.
Glatzova & Co. acts for international and local investors, private equity funds, financing banks, architects, resort owners, construction companies, property developers, state agencies and municipalities. The firm’s achievements include pioneering work in local shopping centres, office space, resort, industrial and residential constructions and other mixed development and greenfield/brownfield projects. The recent major deals include representing Erste Group Immorent in sale of three shopping malls in Cheb, West Bohemia or representing Kovošrot Group in sale of major Brownfield in Prague.
Litigation & Arbitration:
The firm offers clients comprehensive assistance with all aspects of the dispute resolution process, including amicable settlement negotiation, ADR, and representation at all stages of both common and arbitration court proceedings. The firm’s lawyers have experience with disputes across a wide range of practice areas at Czech and foreign arbitration courts (e.g. Hypoteční banka, a.s. in number of disputes with its clients).
Restructuring & Insolvency:
Glatzova & Co. has broad experience with insolvency and restructuring under the new Czech insolvency law. The firm advises major creditors in one of the first reorganisations allowed under the new Czech insolvency law. The firm’s lawyers are also experienced in acquisitions and sales of property from bankruptcy estates and representing creditors in creditor committees. In 2015 Glatzova & Co. represented, among others, TEREX USA, LLC and Terex Cranes Germany GmbH in the insolvency proceedings with claims exceeding (in total) EUR€27.3 million or BRX group in connection with restructuring of New World Resources group.
Competition & Antitrust:
Glatzova & Co. has extensive experience in all areas of competition law including antimonopoly clearances, disputes related to abuse of a dominant position, subsidies and state aid, advice on issues related to cartel agreements including block exemptions, as well as leniency programmes. The firm provides its clients Volvo, Ford Motor Company, Mazda, Jaguar, Land Rover, Isuzu, DAF, Volvo Trucks with everyday advice including competition law (vertical agreements), representing in proceedings with the Czech Antimonopoly Office and courts.
The labour law practice covers the entire spectrum of services in the areas of labour law with a particular emphasis on individual and collective dismissals, reorganisation and downsizing, labour law aspects of mergers, take-overs and outsourcing, as well as advice on remuneration issues, employment of foreigners in the Czech Republic and secondment of Czech employees abroad, etc. Glatzova & Co.’s recent labour law litigation activities include the successful representation of a major heat producer in the Czech Republic’s first labour dispute based on sexual discrimination allegations.

Glatzova & Co.’s advises clients on regulatory, licensing, equipment supply, and data and IP protection issues including domain names, disputes and trademark protection matters. It has provided services in a wide range of terrestrial, cable and satellite broadcasting company transactions. Examples include advising Volvo Auto Czech, s.r.o. on IP/IT aspects of separation of the Volvo brand, licensing and SW distribution model development for Y Soft Corporation.
Utilities & Related Areas:
Glatzova & Co. has served as a consultant to both the public and private sector on virtually every aspect of utilities law including construction/development of power plants, regulatory, antitrust/competition, transactional and litigation issues. The firm acted as official advisor to the Czech Ministry of Industry and Trade on the development of new utility policies and regulations. Glatzova & Co. is also involved in the renewable energy market and provides legal counsel to wind energy and solar energy producers. Recent projects include advising Raiffeisenbank a.s. in connection with refinancing several deals within photovoltaic industry.
