For more than 27 years Glatzova & Co has advised on the most complex national and international transactions across all industries. Glatzova & Co. also seamlessly collaborates with international law firms on global transactions and manages complex deals involving different jurisdictions. The firm’s lawyers put themselves into their clients’ position when they are looking to sell the companies they have built over the years. The team sets up the appropriate structure and walks a client step by step through the transaction to a successful closing. And, when a client is looking to buy a company, Glatzova & Co. prepares a succinct and easily readable due diligence report that identifies the risks associated with acquiring the target and offers clear solutions. Banking, Finance & Capital Markets:
Glatzová & Co. provides a full range of legal services in the area of banking and finance. Glatzova & Co. advises both lenders and borrowers on local as well as crossborder financial transactions, which include collaborating with international law firms and managing complex deals involving different jurisdictions. The firm also covers all areas of financial services regulation. Glatzova & Co. has strong know-how and a proven track record in regulatory matters. The firm represented its clients in numerous administrative proceedings (both licensing and penalty) before the Czech National Bank. The team, led by Martin Dančišin and Libor Němec, enjoys a high reputation with local and international finance institutions as well as with private investors. The firm has in-depth experience in acquisition and project financing as well as syndicated loans and consumer loans. In the past year the firm has also advised on a number of note programs, several of which were listed on the Prague Stock Exchange. Among its clients in this area are Raiffeisenbank, Komerčni banka, Všeobecnáúvěrová banka, ČSOB, KBC NV, J & T BANKA, a.s., SMART Capital Group, DRFG, and Natland Group.

Real Estate:
Glatzova & Co.’s real estate team has broad experience in complex real estate transactions (including the hotel industry, industrial sites and logistics), real estate finance as well as in providing complex legal support in real estate and infrastructure development projects. Glatzova & Co. advises its clients in complicated planning and building proceedings, including projects involving heritage protection. The team, led by partner Erik Kolan, has recently succeeded in several seemingly hopeless permitting cases and now represents a number of developers in similar processes. Glatzova & Co.’s clients include real estate developers such as HB Reavis, Landia Management, Discovery Group and Verdion. The firm also has a long-term relationship with Erste Group Immorent Czech Republic and has advised them on more than 15 projects. Erste Group Immorent Czech Republic, a subsidiary of Erste Group Bank AG, is part of a banking group focused on real estate financing and project development in Central, Eastern, and South Eastern Europe.

Litigation & Arbitration:
Glatzová & Co. has extensive experience in representing clients in court proceedings and domestic and international arbitration proceedings in various fields of law, across all business sectors. The firm’s services include analysing cases from the perspective of substantive and procedural law, preparing a strategy for the case, and defending its clients’ rights before the courts. Restructuring & Insolvency:
Glatzova & Co. has broad experience with insolvency and restructuring under the new Czech insolvency law. The firm advised a major creditor in one of the first reorganizations allowed under this new law. Glatzova & Co. has represented its clients in creditor committees in a number of insolvency proceedings and has in-depth experience in creditor management of bankruptcy estates. The firm’s lawyers are also experienced in acquisitions and sales of property from bankruptcy estates. In the past year the firm has advised on the restructuring of banking/private equity debts in reaction to the COVID- 19 pandemic and related state aid. Glatzova & Co. has actively participated in almost all major insolvency proceedings in the Czech Republic in the past 10 years, including OKD, Vítkovice Power Engineering, Vítkovice Gearworks, Papcel, Oleo Chemical, Thomas Cook, PSJ, and many others.

Labour:

One of the specific sectors the firm operates in is the automotive industry. Glatzova & Co. provides comprehensive labour law, employment, and data protection advice to a number of significant clients, including: FORD MOTOR COMPANY, Mazda Motor Logistics, Renault Trucks Czech Republic, International Automotive Components Group, Auria Solutions, and Tiberina Automotive. Specific issues for these clients include labour law aspects of engaging non-Czech managers, implementing global policies, and global management of their companies. Glatzova & Co. represents several leading companies, including: Take-Two Interactive/2K Czech, OLX, Showmax, Travelex, Moody’s, Hypoteční banka, ČSOB Pojišťovna and Raiffeisenbank, and provides them with advisory services on specific issues related to employing experts in these two high-profile sectors. The firm also advises on non-competition, confidentiality and non-solicitation matters, data protection, and protection of copyrights. It also advises many individuals and managers when negotiating the conditions of their employment or employment termination or claiming rights against companies.

Energy & Utilities:
Glatzova & Co. is a trusted adviser to both the public and the private sector on virtually every aspect of energy law, including construction/development of power plants, regulatory, antitrust/competition, complex transaction and litigation issues. Its key expertise is in the area of renewable energy sources. Glatzova & Co. has advised major banks on financing and refinancing projects (e.g. Raiffeisenbank, Komerční banka, Erste Group Immorent), as well as investors on development and regulatory issues when developing and operating facilities, completing extensive M&A transactions when purchasing and divesting (e.g. Pražská energetika and DRFG), and litigating in numerous administrative and civil law matters (including investment treaty arbitration) including regulatory aspects of the renewables support scheme (e.g. Mondi Štětí, Solar Černilov and numerous operators of solar power plants).
