M&A, Extraordinary Transactions & Private Equity:
Advice in extraordinary transactions has always been the focus of GTA practice, which covers the planning, the organisation and the implementation of the deal and the investment structure, in relation to both private and public target companies. Among the firm’s clients in this area there are leading industrial, financial and commercial players both in Italy and in other countries. Plus, GTA is the twin-brother of private equity in Italy, having operated alongside leading Italian and European operators for years and providing assistance in structuring and organising investment funds, assistance to fund underwriters and managers, and assistance in investment and divestment transactions, handling all aspects of the structuring and negotiation of acquisition contracts, financing agreements, and incentive plans for directors and managers. The firm has expanded the extraordinary transaction team with a focus on mid-market transactions, which will play a central role on the Italian market in the next years, in the context of the broad generational shift that Italian businesses are undergoing. GTA recent track record includes the assistance to Salini Impregilo in the Progetto Italia consolidation of the Italian construction sector, the advice to Lactalis in the purchase of Nuova Castelli, the Elliott Funds activist campaign for a Telecom Italia independent board, the advice in the take-to-private transaction of EITowers (acquired by F2i and Mediaset), the advice to the BC Partners Funds in the veterinary practices sector, the assistance to the Permira Funds in their investments in the retail and healthcare sector and the assistance to the Providence Funds in the investments in the private education sector.

In the last years, GTA has developed a strong expertise in real estate matters, advising prime Italian and foreign players in transactions mainly regarding commercial properties.

Special Situations:
Transactions involving companies in financial stress or bankruptcy are the field where the multi-faceted professional capabilities of the firm’s members are put to the fullest use. Leaders of the Italian business community have always acknowledged the GTA ability to firmly navigate the clients to a safe harbor through the complicated waters of a special situation, with all the challenges coming from its commercial and banking law profiles, as well as market issues, accounting matters and liability profiles. The firm’s recent track record in the field highlights the assistance to a real estate fund owned by KKR and COIMA in the refinancing of a portfolio of telephone network switching stations let to Telecom Italia, the assistance to Salini Impregilo (now Webuild) in the structuring and underwriting of the tap issuance of the bond issued by Astaldi and the assistance to Intercos in the senior facilities agreement.

GTA’s vast experience in corporate and finance law has translated into a strong litigation practice - arbitral and judicial - that has expanded to the publishing and industrial property fields.
