Firm Overview:
The firm, founded in 1898, is one of the oldest and largest laws firms in Sri Lanka. Banking & Finance:
The firm’s banking practice has led complex cross border financing over the years and is regularly mandated by multi-national corporations and financial institutions to advise on a diverse range of transactions, including syndicated lending, trade financing, acquisition financing and regulatory compliance.
Key Transactions: Advising Mitsubishi UFJ Financial Group on the financing of JPY 10 Bn. granted to the Ministry of Finance for construction of the Central Expressway Section 3, advising Pan Asia Banking Corporation and Symbiotics SA on the USD 7.75 Mn. Green Bond issuance and advising Bank of Bahrain and Kuwait BSC on a facility of USD 20 Mn. granted to a local commercial bank.

The firm has advised key regional lenders and sponsors on several PPP projects in power and energy, transport, infrastructure and ports and has considerable experience in advising on and preparing concession and implementation agreements, joint venture agreements and finance agreements.
Key Transactions: Advised Sugih Energy International Pte Ltd on setting up a BOI approved petroleum refinery at Hambantota with an envisaged investment of USD 24Bn., advising SK E&S on procurement under the Swiss Challenge process for the development of an integrated FSRU/pipeline project in Sri Lanka, including importation of LNG and sale of gas to the Ceylon Electricity Board on a BOOT basis, and advising Bluesky Power (Private) Limited, the project company for the BOOT Project for 300MW combined cycle power plant at Kerwalapitiya of the Ceylon Electricity Board.
