Main Areas of Practice:

The mergers and acquisitions practice provide a full service in contract negotiation (share or asset purchase agreements, shareholders agreements, transitional services agreements, etc.) and legal, labour tax and environmental due diligence. The firm's experience in this area includes advising multinationals and private equity firms both in acquisitions as well as sales.

Capital Markets:
The firm's capital markets practice advises international financial services firms, including registered and alternative asset managers, investment banks, brokerage houses, insurance companies and credit rating agencies. Its advice covers the regulatory aspects of raising capital from Chilean investors (including institutional investors such as pension funds and insurance companies), whether by means of private placements or registrations for public offer, as well as the structuring of investments in Chilean assets, whether in registered securities or in alternative assets relating to renewable energy. It acts as counsel to sponsors and general partners of some of the main placements of foreign private equity funds in Chile made by means of locally registered feeder funds. It also provides advisory services to global law firms regarding the regulations applicable to stock markets, investment funds and shareholder disclosing obligations.

Litigation & Arbitration:
Civil and commercial litigation and arbitration, as well as other forms of dispute solution arise as a robust part of the firm’s practice. The department, led by partner Raúl Montero, represents companies in construction contracts, corporate disputes, insurance claims, product liability and antitrust litigation, in several industries such as pharmaceutical, automotive, aviation, financial, insurance, construction and communications in domestic and international arbitrations and mediations, under CAM, ICC, and the AAA rules. Partners Arturo Alessandri and Felipe Cousiño are both part of the roster of arbitrators of the Mediation and Arbitration Centre of the Santiago Chamber of Commerce.
