We work with clients on various areas of compensation and benefits including pension and profit-sharing plans qualified under the Internal Revenue Code, stock and cash compensation and incentive plans, cafeteria plans, welfare and fringe benefits, tax-deferred annuity programs, and executive deferred compensation. We have extensive experience in representing employer-sponsored group health plans, including our work on the Affordable Care Act, COBRA, ERISA, HIPAA, mental health parity, and Medicare compliance issues. We also work with employers navigating multiemployer pension withdrawal liability and multiple employer welfare plan compliance.
Our employee benefits attorneys work closely with our Corporate attorneys to provide specialist support on due diligence for buyers and sellers in stock deals, mergers, and asset purchases. We advise clients on health and welfare plan matters, including COBRA, plan design changes, reporting, and pay-or-play penalty issues that arise when buying or selling operations. In addition, we advise clients on qualified retirement plan and nonqualified deferred compensation plan issues, including analyzing the potential risks of document and operational compliance issues identified during due diligence, and formulating pre-closing and post-closing plan document design, testing, and transition tactics.
