Overview

The Corporate and Commercial Practice Unit of ACAS-Law covers general commercial advisory work, foreign investment, mergers and acquisitions, corporate finance, tax, telecommunications and other infrastructural projects, entertainment law, intellectual property labor law and immigration matters .

Some of the work we have concluded recently include: 

Acquisition of a Value Added Service provider

We advised an offshore company in the acquisition of a 20% stake in another offshore company which owns a Nigerian company that provides value added services to companies operating in the telecommunications sector in Nigeria.

Acquisition of Foam Manufacturing Company

We advised a foreign foam and mattress producer (our “client”) in its proposed acquisition of 90% of a Nigerian manufacturer of mattresses and bedding products (the “target”) in conjunction with a foreign law firm.

Our role involved conducting extensive due diligence on the target, advising on corporate and regulatory compliance matters, merger control issues, real estate matters, intellectual property matters and employment law amongst others. We also provided advice on Nigerian foreign investment laws and prepared a detailed due diligence report based on our investigation of the target.
