Mergers & Acquisitions:

Skadden has developed a first-tier M&A capability in Asia over the past 30 years with a focus on complex, cross-border transactions. The firm has significant and unique experience in structuring and executing challenging transactions throughout its network of Asian offices. It draws on the wealth of experience of a complementary group of Asian, US and European practitioners to exploit practices and developments from the world of M&A, sensitive to the local environment. Skadden works closely with its clients’ financial and other advisors in search of excellence and successful completion of the tasks to which it is assigned.

Corporate Finance:
Skadden advises on capital markets matters in each of its Asia-Pacific offices and operates throughout the region including in Australia, China, Hong Kong, India, Indonesia, Japan, Macau, Malaysia, New Zealand, Pakistan, the Philippines, Singapore, South Korea, Taiwan, Thailand and Vietnam. Skadden advises corporate, governmental and investment banking clients on a variety of corporate finance transactions, including IPOs, high-yield financings and other global entity and debt offerings.

Private Equity:
Skadden represents private equity firms in connection with all aspects of their businesses, including structuring and organising fund sponsors and their investment funds; executing acquisitions, financings and exit transactions; and providing corporate, securities, financing and litigation advice to portfolio companies.

Investment Management:
Skadden’s attorneys represent leading investors, sponsors and strategic parties in connection with the formation, capitalisation and operation of investment funds and fund managers, including venture funds and venture portfolio transactions. Investment management attorneys also represent venture capital clients in the restructuring of venture capital firms and funds, in portfolio transactions and the firm represents investors in venture capital asset transactions.

Banking & Finance:
Skadden represents arrangers, investors and borrowers in numerous significant investment grade and leveraged debt-related transactions providing lender and borrower representation. It focuses on complex, cross-border and innovative financings. The lawyers are familiar with all aspects of leveraged finance and have a sound understanding of other credit products such as project finance and high-yield. The practice is regularly engaged in the development of new techniques for financing and restructuring transactions.

International Arbitration, Litigation & Investigations:
Skadden provides the full range of international dispute resolution services across the region. The team in Asia is particularly experienced in litigation and arbitration cases involving different systems of national law, as well as private and public international law. The practice also handles regulatory, cross-border investigations and Foreign Corrupt Practices Act (FCPA) matters. In addition to commercial litigation, Skadden continues to be very active in assisting clients in the defence of class actions under US state and federal securities laws. The firm is noted for its market-leading share of representations of China-based issuers in US securities litigation.

International Competition:
The international competition practice represents clients on a full range of competition law issues raised in multinational M&A and other transactions. The international competition practice also represents clients across multiple jurisdictions with anticompetitive conduct issues relating to cartels and potential abuses of dominance, and has broad experience in designing and auditing global competition compliance programs.
