Glatzova & Co.’s track record in mergers and acquisitions originates from the very beginning of the Czech and Slovak M&A market in the 1990s. The firm represented the Czech Republic, as well as the first foreign and domestic investors, during the privatization of banks and major industrial enterprises, helped establish some of the first joint ventures, and advised on the Czech Republic’s first significant private equity investments. For 25 years, we have advised on the most complex national and international transactions across all industries. The firm’s lawyers are skilled in corporate restructuring, including cross-border mergers. Glatzova & Co. is very active in the energy sector, including the area of renewable energy sources. It also advises on all areas of financial services regulation. The firm’s track record in 2018/2019 includes advising Joyson KSS Group on its USD 1.2 billion financing of the acquisition of Takata group, Messer Group on its EUR 520 million interim loan and amendments to existing note purchase agreements, or CSOB on CZK1.2 billion financing provided to Pražské služby, a.s. (a waste management company owned by the City of Prague). Restructuring & Insolvency:
Glatzova & Co. has broad experience with insolvency and restructuring under the new Czech insolvency law. The firm advises major creditors in one of the first reorganisations allowed under the new Czech insolvency law. The firm’s lawyers are also experienced in acquisitions and sales of property from bankruptcy estates and representing creditors in creditor committees. Glatzova & Co. has represented clients in all major Czech insolvency proceedings, namely the insolvency of OKD, Vítovice Power Engineering, Vítkovice Gearworks, Papcel, Oleo Chemical, Thomas Cook, PSJ, and many others.
Competition & Antitrust:
Glatzova & Co. has extensive experience in all areas of competition law, including antitrust clearances, disputes related to abuse of a dominant position, subsidies and state aid, and advises on issues related to cartel agreements, including block exemptions and leniency programmes. The firm’s lawyers also provide clients such as the Ford Motor Company, Mazda, Jaguar, and Jaguar Land Rover Austria with ongoing advice on competition law (vertical agreements), and represents them in proceedings at the Czech Antimonopoly Office and the courts.
