Main Areas of Practice:

Mergers & Acquisitions:

The firm represents clients in various domestic and cross-border M&A transactions, including mergers, joint ventures and equity and asset purchases. In order to do this, the firm assists its clients in their various capacities – such as: buyers, sellers, lenders, borrowers, guarantors, target companies and others -, and in drafting and negotiating the various documents required to complete such transactions.

Capital Markets:

The firm guides both companies and shareholders through specific scenarios of public offerings of securities – which may include stocks, debentures and/or commercial papers. Such representation may occur in a regulatory dynamic, which involves the ‘Comissão de Valores Mobiliários’ (Brazilian Securities and Exchange Commission), or in a more technical aspect, regarding the drafting of the necessary documents for the offer. In addition to both of these operations, the firm also assists individuals and companies in the process of accreditation as portfolio managers.

Contracts:

The firm is capable of aiding clients with issues regarding civil and commercial contracts in general, such as: sales and purchase agreements; rental agreements; leasing agreements; personal and collateral security agreements.

Banking & Finance:

The firm acts as a consultant to clients with matters concerning bank financing operations and leasing agreements; in matters relative to the regulations and standards issued by the Central Bank of Brazil – be it in regard to foreign investments made in Brazil or Brazilian investments made abroad -; and in matters related to foreign trade and foreign exchange regulations. In this light, the firm is also ready to represent clients in administrative proceedings - regardless of it occurring in the Central Bank’s, or in the ‘Conselho de Recursos do Sistema Financeiro Nacional’, sphere.

Investment Funds:

The firm assists clients in the organisation of investment funds, whatever the niche may be – be it equities markets, emerging business funds, credit rights funds, etc. In addition to this, the firm also acts as an advisor to such clients, in respect to compliance norms, and other relevant regulations, issued by Brazil’s ‘Comissão de Valores Mobiliários’ (Brazilian Securities and Exchange Commission).

Succession Planning:

The firm offers counsel to clients – individuals or families – with regards to the planning and execution of the organisation of assets, both in Brazil and abroad; specially relating to succession purposes.

High Net Worth

The firm handles complex and, most often, multi-jurisdictional matters presented by individuals and families, assisting them with aspects ranging from, but not limited to, financial and tax planning, to consulting in the organization of offshore structures.

International Work:

The firm has continuously intensified the development of lasting relationships with other international law firms, located both in Europe and in the United States, in order to assist non-Brazilian clients with connections to Brazil - be it in terms of business or assets -, and, also, to assist Brazilian residents who have business or hold assets outside of Brazil. The firm also aids clients who seek to acquire real estate assets; vessels; and aircrafts located, or to be held, in other jurisdictions. In such cases, the firm will work jointly with other law firms from the respective jurisdictions involved in the situation.

The clients of the firm are mainly Brazilian companies and individuals with businesses in a wide variety of activities, such as: mining, telecom, real estate, construction, technology and health and insurance company. The firm also advises controlling shareholders of Brazilians companies (from the public and private sectors), and individuals responsible for the management of family companies (be it a family member or not).
