DHC acts as a legal advisor in project finance, corporate lending, trusts structures, wealth management and capital markets, among banking and financial institutions. DHC has advised clients such as Banco Santander (through its Spanish, Peruvian and Panamá offices), Scotiabank del Perú, Cofide, Bancolombia, Interbank, GNB, Banbif, Banco Financiero, Banco Internacional de Costa Rica and Banco Nacional de Bolivia. Recent landmark transactions handled by DHC include: (i) a US$ 500 million portfolio assignment from Cofide to Banco Santander, S.A. (España); (ii) a US$ 300 million project finance of Graña y Montero that involved the participation of Fondo MiVivienda; and, (iii) a US$ 200 million credit facility to Concesionaria Vial Sierra Norte S.A. DHC has also advised San Martín Contratistas Generales S.A. in the registration of a Short-Term Securities Program that allowed San Martín Contratistas Generales S.A. the issuance of debt titles over US$ 130 million.
Real Estate:
DHC has participated in construction and real estate projects which include the development of buildings, malls, infrastructure projects and households among its clients such as Fondo MiVivienda; Parque Arauco; Inmobiliari; Ciudaris and Grupo Lar. Recent executed projects include: (i) the development of Fondo MiVivienda’s biggest housing construction program in which it would be built 11,100 houses in the area of Ancon; and (ii) the construction, implementation and management of two “Hilton Garden Inn” hotels in Lima, for US$ 91 million.
Corporate & M&A:
DHC advices its clients in all sorts of corporate mat- ters such as incorporation of companies or establishment of branches from foreign companies, transfer of shares and amendments to the bylaws of the company. DHC also participates in a wide range of M&A projects. DHC has been the Peruvian legal advisor for the international purchase of Peruplast -together with other operations in Latin America- by Amcor for a total amount of US$ 435 million. Projects & Infrastructure: The firm has advised several clients in the de- velopment of long-term construction projects which are the main strategy to improve the development of the Peruvian integrated trade and transport system.
Restructuring & Bankruptcy:
The firm has acquired expertise concern- ing negotiation and debt restructuring, transfer and acquisition of bankruptcy estate assets and takeovers of companies under bankruptcy proceedings and has acted as a legal advisor regarding creditor’s interests. Among the principal transactions which the firm has participated, within liquidation of companies, the firm has counselled in the proceeding of CMC Constructora S.A.C. for debts higher than US$ 10 million. The firm acts regularly as council of Scotiabank Peru for insolvency procedures.
Tax:
DHC provides full tax advice on all tax law specialties including tax structuring of M&A, corporate reorganizations, joint ventures, private equity, finance transactions and capital markets. The firm regularly advises on cases with cross-border implications and tax complex deal structures, and offers corporate and private clients specialist advice on tax planning, tax audits and tax litigation. Recently DHC advised Southern Bridge Capital on structuring vehicles for its investment into Latam.
Litigation & Arbitration:
The Litigation team has over 10 years of experience and is capable of providing advice and representation in the handling of civil and commercial disputes, corporate conflicts, debt collections, reparations, medical malpractice, constitutional cases, administrative litigation, annulment and enforcement of arbitration awards, among other litigation scenarios. With extensive experience in obtaining injunctions and other cautionary measures, our team is capable to avoid irreparable damages to our clients and ensure the enforceability of final decisions. The Litigation team will provide a full service for all clients, seeking for creative solutions to prevent contingencies and settle disputes before and during litigation stages. DHC currently advices companies from very different sectors, such as Clínica San Felipe, Banco GNB Perú and Adecco, with excellent results. The firm handles a portfolio of constitutional cases for Pacífico Seguros of approximately US$ 7 million and recently advised them on a US$ 30 million dollar case.
