■ Acting for Credit Suisse, a leading global financial services company, in connection with a USD 1.2 billion financing to the Government of Tanzania through the Ministry of Finance and Planning
■ Acting for Africa Export-Import Bank, the main lender and various co-financiers, in connection with a USD 315 million multi-jurisdictional syndicated debt facility to the Smile Group of companies dealing with 4G LTE broadband networks
■ Advising Dangote Industries, a Nigerian multinational industrial conglomerate, in connection with a USD 100 million syndicated financing facility arranged by Standard Chartered Bank and Barclays Africa Group, with participation by Standard Chartered Bank Tanzania and National Bank of Commerce Tanzania

Corporate M&A, Private Equity & Capital Markets:
■ Acting for Huaxin Cement Company, one of the world’s leading companies in the building materials industry, in connection with its acquisition of 100% of the issued shares in Maweni Limestone, a Tanzanian company involved in the business of making clinker and manufacturing and distributing cement
■ Acting for Equity Group Holdings, one of the largest commercial banks in Africa in connection with the acquisition of 100% of African Banking Corporation Tanzania from Atlas Mara, a financial services company listed on the London Stock Exchange, through a share swap, and a subsequent merger of banking entities in Rwanda and Tanzania
■ Acting for GardaWorld in connection with their acquisition of Ultimate Tanzania, and the merging of KK Security and Ultimate Tanzania operations

Mining, Oil & Gas and Project & Infrastructure:
■ Acting for an Australian mining services company with global operations, in connection with compliance and restructuring to comply with the local content requirements in the mining sector
■ Acting for one of the largest pension funds in Africa in connection with its investment in a 318MW combined cycle gas turbine electricity generation facility in Tanzania
■ Acting for CDC and Norfund in connection with their acquisition of Globeleq Africa, which has interests in a number of power generating companies in Kenya, Tanzania, South Africa, Cameroon and Côte d’Ivoire

■ Acting as Tanzanian counsel for Stichting DOB Equity, Microgrid Catalytic Capital Partners, Omidyar Network Fund, and Acumen Fund, in connection with obtaining merger clearances from the Fair Competition Commission in relation to their investment in Windgen Power USA, a company that has built solar and wind projects across seven countries in Africa
■ Acting for Holcim in connection with obtaining merger clearance in relation to its acquisition of a Lafarge business unit in Tanzania

■ Advising Woodside Energy in connection with stamp duty and capital gains tax in relation to its acquisition of 70% of the participating interest in the Lake Tanganyika South onshore oil and gas block
■ Advising Schneider Electric in connection with tax structuring in relation to their acquisition of three Kenyan companies with subsidiaries in Uganda and Tanzania
■ Advising Huaxin Hongkong International Holdings Limited and Huaxin Hongkong (Tanzania) Investments Limited on the tax implications of an acquisition of shares in Maweni Limestone Limited

■ Advising a gold mining business operating in Tanzania in connection with the redundancy of 831 employees working for the client at the Bulyanhulu goldmine site, to determine if the process complied with local employment law on redundancy
■ Acting for Toyota Tanzania in connection with employment and regulatory matters
■ Advising a franchise-holder for an international food chain in Tanzania in connection with the retrenchment of its employees following the sale of its business
