Ronald Berenstain, member and former chair of Perkins Coie's Securities & Corporate Governance Litigation practice, has been lead defense counsel in scores of high-stakes securities and corporate governance cases for more than 35 years. His practice is focused on representing public and large private companies, their officers and directors, and underwriters and accountants, in shareholder class action litigation, securities fraud litigation, shareholder derivative litigation, merger and acquisition litigation, takeover/proxy contest litigation, ERISA class action litigation, Securities Exchange Commission enforcement proceedings and internal investigations. He also works with business lawyers in counseling public and large private companies and their boards of directors on disclosure, corporate governance, director liability and D&O insurance matters.
