ROBERT KREITMAN, co-leader of the firm’s global Tax group, focuses on the structured finance, securitization and financial products areas. He also represents a wide range of registered and non-registered investment funds in the acquisition, disposition, and financing of financial assets. Robert’s principal areas of experience include residential and commercial mortgage-backed securitization, asset-backed securitization, structured finance and capital markets, including CLO and CRE CLO transactions, the structuring of funds for corporate and real estate loan origination, the structuring of REO-to-rental financings, servicer advance financings, debt repackagings, securitization of non-performing and re-performing loans, catastrophe bonds, insurance-linked securities, distressed asset funds, structured notes, credit-default swaps and synthetic securitizations.
Robert represents a wide variety of clients, including Goldman Sachs, J.P. Morgan, Citigroup, Morgan Stanley, Norinchukin Bank, BlackRock, Starwood, Swiss Re, and Daimler.
He was also the special tax counsel to the Resolution Trust Company (RTC) on more than US$100 billion of MBS securitization transactions in the early 1990’s. He has served as the senior U.S. tax advisor to (i) Deutsche Bank on the Invitation Homes 2013-SFR1 REO-to-rental securitization (IFLR 2013 Structured Finance Deal of the Year), (ii) Washington Mutual on their respective covered bond program, (iii) the lead managers on the HBOS Treasury Services plc UK covered bond offering (IFLR 2004 Securitization “Deal of the Year”), (iv) Banc One Capital Markets on the GMACM Home Equity Loan Trust 2002-HE3 transaction (ASR and IDD 2002 “Deal of the Year” in the “Most Innovative Structure” category), (v) Ford Credit on the US$5 billion Ford Credit Floorplan Master Owner Trust A, Series 2001-1 and 2001-2 (IDD 2001 “Deal of the Year”), and (vi) Goldman Sachs in its role as underwriter on a US$200 million catastrophe bond offering by MetroCat Re. Robert also represented the cedent on the first catastrophe bond issuance and has represented U.S. and non-U.S. issuers and placement agents on dozens of similar transactions. He recently served as representation for a joint venture among Nelnet, Inc. and certain investors as issuer’s counsel on the US$4,031,720,000 Nelnet Student Loan Trust 2021-A securitization backed by private student loans.
