• The transaction involves the re-domiciliation of three Nakilat charterer entities from the Republic of the Marshall Islands to the Qatar Financial Centre. These entities are charterers under existing sale and leaseback arrangements relating to three newbuilding vessels, with Hong Kong-incorporated owners and a pledgor, Nakilat VLGC Inc. The lender/financier in the transaction is CMB Financial Leasing Co. Ltd.
As part of the re-domiciliation, while the existing English law-governed Deeds of Pledge over Shares remain in place, new QFC law-governed share pledge agreements are to be executed by the pledgor (Nakilat) in favour of each owner. The three charterer entities obtained QFC Certificates of Continuation as of 22 December 2025.
• The transaction involves the proposed acquisition by Mesaimeer City Real Estate Company W.L.L. of six (6) utility plots located within Barwa Phase 2 in Mesaimeer City, Qatar. The targeted plots host critical infrastructure assets essential to the operation and continuity of the developments. The plots have a combined area of 31,933 sqm.
• The transaction involves the sale and purchase of 51% of the issued share capital of Qatar Scientific Company W.L.L. by the client. The consideration is structured as a provisional purchase price, adjusted post-Completion by reference to completion cash, working capital, balance sheet debt, related party indebtedness, receivables, and inventory adjustments to arrive to a final purchase price.
