Presley Warner heads S&C’s European Credit and Leveraged Finance Group. He advises leading financial institutions, private equity and corporate clients on cross-border financing transactions across the ratings spectrum, and restructurings.
His private equity transactions include sponsors/lenders on leveraged private and public-to-private transactions through first and second lien, mezzanine, PIK and hybrid instruments; leveraged recapitalisations; bid, bridge to bond, U.S. term loan B and distressed financings; and related intercreditor arrangements.
His corporate transactions include advising corporate and lenders on event-driven investment grade financings and build-out transactions such as Goldman Sachs as financial advisor to Marsh & McLennan in their acquisition of Jardine Lloyd Thompson, Rhône on financing aspects of its acquisition of Zodiac Pool, the financing aspects of Capital Product Partners’ combination of its tanker business with DSS Holdings.
His restructuring practice includes advising bondholders, financial institutions, corporate and private equity-owned debtors. Mr. Warner’s notable restructuring transactions include advising the lenders to Danaos Shipping on its debt restructuring and Zim Integrated Shipping Services on the restructuring of its financing and capital markets financings (the largest restructuring in Israeli history).
