Noam Ayali’s practice focuses on the acquisition, development, financing and operation of infrastructure projects, with a primary focus on the upstream oil and gas sector, domestic and cross-border pipelines, LNG and natural gas infrastructure, and conventional and renewable power sectors.
Noam represents energy companies, project sponsors and developers, as well as multilateral agencies, commercial banks, institutional and equity investors on a variety of securities and finance transactions. He has extensive experience with financings in the commercial bank Term Loan A market, the Term Loan B market, and capital markets debt offerings under Rule 144A and Regulation S, as well as section 4(a)(2) private placements. He also advises project sponsors and lenders in connection with political risk insurance matters related to project financings. Over the course of his career Noam has been involved in energy and other infrastructure projects in the United States, Latin America, Russia, the Caspian Region, the Middle East, Africa and Asia.
