Career

Nhut is extensively experienced in international business and multi-jurisdictional transactions.

His practice focuses principally on M&A, private equity, international finance, and inbound foreign investment in general. He has particular experience in structuring complex M&A deals that require creative structures in light of existing legal restrictions and ambiguities.

Nhut has been involved in a number of large transactions in which he has acted for multinational clients to provide solutions, and to assist clients to achieve desired outcomes. He has led the Russin & Vecchi team in various large-scale complex transactions, including comprehensive, non-conventional due diligence investigations, deal structuring, transaction documentation, performance of conditions precedent and rectification of due diligence issues, funding structures and funding documentation, coordinating closings and post-acquisition integration.

Nhut has practiced law at Russin & Vecchi in Vietnam for over 25 years.

M&A. He is deeply involved in M&A in many sectors. He assists with cross-border transactions involving foreign and domestic companies. He conducts due diligence investigations; provides advise on the transaction structure; address legal risks/issues that may arise; provide innovative and efficient solutions to complex issues. He prepares and negotiates transaction documents; coordinates, supervises and monitors both closing and post-closing regulatory procedures and other formalities, and helps the new owners to integrate into the business.

Acted as counsel to issuer in VND denominated secured bond (equivalent to US$75 million) privately placed to IFC and back-to-back VND denominated secured bond (equivalent to US$7 million) privately placed to Vietcombank, and a US$75 million bond to IFC under IFC’s Covid-response project in Vietnam.

Hoan My Medical Corp

Acted as Lead counsel to Hoan My in its issue of US$100 million-equivalent bonds guaranteed by CGIF (under the Asian Development Bank), the first bond offering for the healthcare sector. (Deal of the Month and Deal of the Year 2019 – Asian-mena Counsel).

MoMo

Raised capital through several series of private placements and rights issues with foreign private and sovereign investment funds, including multi-million US dollar Series C from Warburg Pincus in 2018, US$100 million Series D from Warburg Pincus, Goodwater Capital, Kora Management, Macquarie Capital, Tybourne Capital and others, in 2020 and US$200 million Series E from Mizuho, Ward Ferry, Goodwater Capital and Kora Management.

Zurich Insurance Group

US$600 million acquisition of AIG’s global travel insurance business, under the group’s strategic expansion to mutliple markets, including Vietnam.
