Career

Fernando has more than 16 years of experience advising on capital markets, private equity, venture capital, and mergers and acquisitions. He currently serves as Managing Partner of Actio Legal Partners.

Throughout his career, Fernando has advised on the formation and structuring of private equity and venture capital funds through both private investment vehicles and publicly offered Mexican investment structures, including Certificados Bursátiles Fiduciarios de Desarrollo (CKDs) and Certificados Bursátiles Fiduciarios de Proyectos de Inversión (CERPIs), as well as proprietary investment platforms sponsored by Mexican pension fund managers (AFOREs). His extensive experience in this field has positioned him as a leading practitioner in the Mexican private capital and capital markets sectors.

His practice includes the structuring and fundraising of investment vehicles designed to receive commitments from proprietary CERPI platforms established by AFOREs, across a broad range of investment strategies, including growth capital, venture capital, funds of funds, infrastructure, real estate, and private credit.

Fernando also has significant experience in securitization transactions involving receivables and other financial assets, and has advised rating agencies in connection with securitization transactions. Notably, he participated in the structuring of the first issuance in Mexico of trust certificates specifically designed to enable insurance companies to invest in a financing platform managed by a global investment manager.

In the private equity and M&A space, Fernando regularly represents private equity funds and other institutional investors in domestic and cross-border acquisitions and dispositions. His experience encompasses all stages of a transaction, including legal due diligence, transaction structuring, negotiation of definitive documentation, closing, and post-closing corporate reorganizations.

Fernando has been recognized by Chambers and Partners and IFLR1000 as a leading lawyer in Mexico for Capital Markets.

In addition to his private practice, Fernando has taught Securities Law and Financing Structures as part of the Master’s Degree in Business Law, as well as Securities and Financial Transactions in the Master’s Degree in Financial Law, both at Universidad La Salle. He has also taught modules on the legal and regulatory framework applicable to private equity and venture capital funds, CKDs, CERPIs, and FIBRA-E as part of the Executive Program for Certification in Alternative Investments organized by RiskMathics Financial Institute.
